This "Agreement" made and entered into by and between the City of Rosemead, hereinafter called
"City," and the Rosemead School District hereinafter called the "District."
WHEREAS, the City and the District are committed to facilitating student pedestrian safety; and
WHEREAS, the City and the District desire to have the City provide a crossing guard program
through shared financial contributions towards the operations of the program.
WITNESSETH: The City and District hereby contract and agree as follows:
1. Crossing Guard Program. The City shall provide the District a crossing guard service for
the amount described in this Agreement, fully trained crossing guards are to serve at seven
(7) school sites in assisting with student pedestrian safety. The crossing guards will be
deployed at locations and times determined by the District.
2. Compensation and Hours Provided. The hourly billing rate for this Agreement shall be
$32.99 per hour at a weekly average not to exceed 3.5 hours per day for 180 school days
annually.
3. Term. The term of this Agreement shall be for the 2024/25 Fiscal Year, which begins on
July 1, 2024, and ends on June 30, 2025.
4. Payment schedule. Payments from the District to the City shall be made in two installments
at the end of each semester, with the first payment to be made in January of 2025 and the
second payment to be made in May of 2025. Based on an estimate of 180 school days and
a maximum weekly average of 3.5 hours per day, the amounts of the two biannual checks
shall not exceed thirty-six thousand three hundred seventy-one dollars and forty-eight cents
($36,371.48). The maximum anticipated annual payment to the City by the District is
$72,742.95 (one-half of the estimated costs).
5. Insurance and Indemnification. The District, its elected and appointed officers, employees,
and agents shall be named as "additional insureds" on the contractor' s insurance for the
performance of this Agreement and the contractor shall furnish the City, concurrently with
the execution hereof, with satisfactory proof of coverage of the insurance required, and
adequate legal assurance that each carrier will give the City at least thirty (30) days prior
notice of the cancellation of any policy during the effective period of the contract. In
exchange for the City providing the crossing guard services under this Agreement, the
District hereby fully waives, releases and discharges the City of Rosemead and its officers,
officials, employees, volunteers and agents from any and all claims, demands, causes of
action, damages and liabilities related to or arising out of this Agreement.
6. Entire Agreement. This Agreement supersedes any and all Agreements either oral or
written, between the parties, and contains all of the subject matter hereof. Each party
acknowledges that no other agreement, understanding or promise, oral otherwise relative
to this subject matter exists between the parties at the time of execution of the Agreement.
Any modifications of this Agreement will be effective if it is in writing and signed by both
parties.
7. Notices. Any notice required to be given under the terms of this Agreement maybe mailed
first class, postage prepaid as follows:

8. Waiver. Any waiver by either party of any breach of the other of one or more of the terms
of this Agreement shall not be construed to be a waiver of any subsequent or other breach
of the same or any other term thereof. Failure of either party to require exact, full and
complete compliance with any term of this Agreement shall not be construed in any manner
as changing the terms hereof or stopping such party from enforcement hereof.
9. Administration. This Agreement shall be administered by the City through its City
Manager and/or his/her designee. This Agreement shall be administered by District through
its Superintendent and/or his/her designee. The parties shall provide each other written
notification of persons designated other than the City Manager or Superintendent to
administer this Agreement.

4. Payment schedule. Payments from the District to the City shall be made in two installments
at the end of each semester, with the first payment to be made in January of 2024 and the
second payment to be made in May of 2024. Based on an estimate of 180 school days and
a maximum weekly average of 3.5 hours per day, the amounts of the two biannual checks
shall not exceed thirty-four thousand, forty-five dollars, and twenty cents ($34,045.20).
The maximum anticipated annual payment to the City by the District is $68,090.40 (one-
half of the estimated costs).
Insurance and Indemnification. The District, its elected and appointed officers, employees,
and agents shall be named as "additional insureds" on the contractor's insurance for the
performance of this Agreement and the contractor shall furnish the City, concurrently with
the execution hereof, with satisfactory proof of coverage of the insurance required, and

at the end of each semester, with the first payment to be made in January of 2021 and the
second payment to be made in May of 2021. Based on an estimate of 180 school days and
a maximum weekly average of 3.5 hours per day, the amounts of the two biannual checks
shall not exceed twenty thousand nine hundred and twenty-five dollars and forty-five cents
($21,752.33). The maximum anticipated annual payment to the City by the Districts is
$43,504.65 (one-half of the estimated costs).
5. Insurance and Indemnification. The City shall insure the crossing guard services at no cost
to the District. Should the City at its discretion contract out its crossing guard duties under
this agreement, the City agrees to indemnify, defend, and hold the District harmless from
and against any liability, damage, loss, cost or expense in connection therewith. The
District, their elected and appointed officers, employees, and agents shall be named as
"additionally insured" on the contractor' s insurance for the performance of this Agreement
and the contractor shall furnish the City, concurrently with the execution hereof, with
satisfactory proof of carriage of the insurance required, and adequate legal assurance that
each carrier will give the City at least thirty (30) days prior notice of the cancellation of

This AGREEMENT made and entered into by and between the City of Rosemead, hereinafter

through shared financial contributions towards the operations of the program.
WITNESSETH: The City and District hereby contract and agree as follows:
1. Crossing Guard Program. The City shall provide the District a crossing guard service for
the amount described in this Agreement, seven (7) fully trained crossing guards to serve at
school sites in assisting with student pedestrian safety. The crossing guards will be
deployed at locations and times determined by the District.
2. Compensation and Hours Provided. The hourly billing rate for this Agreement shall be
$17.48 per hour at a weekly average not to exceed 3.5 hours per day for 180 school days
annually.
3. Term. The term of this Agreement shall be for the 2017/18 Fiscal Year, which begins on
July 1, 2017 and ends on June 30, 2018.
4. Payment schedule. Payments from the District to the City shall be made in two installments
at the end of each semester, with the first payment to be made in January of 2018 and the
second payment to be made in May of 2018. Based on an estimate of 180 school days and
a maximum weekly average of 3.5 hours per day, the amounts of the two biannual checks
shall not exceed eighteen thousand six hundred and forty-four dollars and sixty-one cents
($18,644.61). The maximum anticipated annual payment to the City by the Districts is
$37,289.21 (one-half of the estimated costs).
Insurance and Indemnification. The City shall insure the crossing guard services at no cost
to the District. Should the City at its discretion contract out its crossing guard duties under
this agreement, the City agrees to indemnify, defend, and hold the District harmless from
and against any liability, damage, loss, cost or expense in connection therewith. The
District, their elected and appointed officers, employees, and agents shall be named as
"additionally insured" on the contractor's insurance for the performance of this Agreement
and the contractor shall furnish the City, concurrently with the execution hereof, with
satisfactory proof of carriage of the insurance required, and adequate legal assurance that
each carrier will give the City at least thirty (30) days prior notice of the cancellation of
any policy during the effective period of the contract. In exchange for the City providing
the crossing guard services under this Agreement, the District hereby fully waives, releases
and discharges the City of Rosemead and its officers, officials, employees, volunteers and
agents from any and all claims, demands, causes of action, damages and liabilities related
to or arising out of this Agreement.
6. Entire Agreement. This Agreement supersedes any and all Agreements either oral or
written, between the parties, and contains all of the subject matter hereof. Each party
acknowledges that no other agreement, understanding or promise, oral otherwise relative
to this subject matter exists between the parties at the time of execution of the Agreement.
Any modifications of this Agreement will be effective if it is in writing and signed by both
parties.

cost to the District. Should the City at its discretion contract out its crossing guard duties
under this agreement, the City agrees to indemnify, defend, and hold the District harmless
from and against any liability, damage, loss, cost or expense in connection therewith.

RECITALS
WHEREAS, due to budget constraints, District has terminated its Home -To-
School transportation program; and
WHEREAS, both the City and the District wish to take steps to ensure the safety
of children who must walk to school; and
WHEREAS, City and District have met and conferred regarding the proposed
.location of additional crossing guards; and
WHEREAS, district has agreed to fund the entire amount of the additional costs
to the City for additional crossing guards.
NOW, THEREFORE, THE CITY AND. DISTRICT HERE TO AGREE AS
FOLLOWS:
SECTION 1. City agrees to:
1. Recruit, hire, train, supervise, and place crossing guards during hours
to be specified by the District at the following locations.. previously

c. Hellman Avenue /Walnut Grove Freeway Ramp

2. Invoice District monthly for crossing guard services at locations
specified. Invoices submitted by the City shall be accompanied by the

SECTION 2. District agrees to:
1. Reimburse City monthly upon receipt of an invoice prepared by City for
its actual costs of providing the additional crossing guards requested
by District. The estimated annual costs for the crossing guards are
based on 15 — 20 hours worked per crossing guard per week during

2. The estimated cost for crossing guard services as described in this
agreement are as follows:

SECTION 3. Neither the City nor any officer or employee thereof shall be

City, its officers, agents, employees, and contractors, from and against any and all
claims, damages, losses, liabilities, or judgments, including attorney's fees arising out of
or resulting in any way from work performed by City under this agreement unless such
liability is due exclusively to the sole negligence or willful acts of City, its officers,
employees, or agents.
SECTION 4. This agreement shall take effect when signed by both parties
hereto. This agreement shall continue to remain in effect in annual terms thereafter,
provided that either party may terminate this Agreement for any annual period not then
in effect by giving written notice to the other part at least thirty (30) days before the date
of the end of the annual period in effect.

GARVEY SCHOOL DISTRICT, a school district organized and existing under the laws
of the State of California ( "DISTRICT ").
RECITALS
WHEREAS, both CITY and DISTRICT wish to take steps to ensure the safety of
children who walk to school; and
WHEREAS, CITY and DISTRICT have met and conferred regarding the
proposed location of an additional crossing guard; and
WHEREAS, DISTRICT has agreed to fund the entire amount of the additional
costs to CITY of the new crossing guard.
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
CITY agrees to:
(a) Recruit, hire, train, supervise, and place a crossing guard during hours to

follows. Estimates are based on 20 hours per week during the course of a
44 week school year.

Administration /Supervision/Training $ 457.00
Estimated Annual. Total $7662.00
In connection with the provision of crossing guard services provided by the City
at the crosswalk specified in this agreement, District agrees to defend, indemnify
and hold harmless the City, its employees, officers, trustees, agents and
representatives, from and against any and all claims, damages, losses, liabilities
or judgments, including attorney's fees arising out of or resulting in any way from
work - performed by City under this Agreement unless such liability is due to the
negligence or willful acts of City, its officers, employees or agents. City also
agrees to defend, indemnify and hold harmless the District, its employees,
officers, trustees, agents and representatives, from and against any and all
claims, damages, losses, liabilities or judgments, including attorney's fees arising
out of our resulting in any way from this Agreement, unless such liability is due to
the negligence or willful acts of the District, its officers, employees, or agents.

guard shall be provided for service commencing November 15, 2000. This

AGREEMENT BETWEEN THE CITY OF ROSEMEAD AND THE
ROSEMEAD SCHOOL DISTRICT FOR PROVISION OF
CROSSING GUARD SERVICE AT SELECTED LOCATIONS
THIS AGREEMENT dated the 3 day of September , 1992,
between the CITY OF ROSEMEAD, a municipal corporation ( "CITY "), and
the ROSEMEAD SCHOOL DISTRICT, a school district organized and
existing under the laws of the State of California ( "DISTRICT ").
RECITALS
WHEREAS, CITY and DISTRICT face severe budget shortfalls in
the current fiscal year; and
WHEREAS, due to budget constraints, DISTRICT has terminated
its Home -To- School transportation program; and
WHEREAS, both CITY and DISTRICT wish to take steps to ensure
the safety of children who must now walk to school; and
WHEREAS, CITY and DISTRICT have met and conferred regarding
the proposed location of additional crossing guards; and
WHEREAS, DISTRICT has agreed to fund the entire amount of
the additional costs to CITY of the new crossing guards.
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
1. CITY agrees to:
(a) Recruit, hire, train, supervise, and place crossing
guards during hours to be specified by the DISTRICT in
writing prior to September 10, 1992, at the following
locations previously specified by the DISTRICT:
1. Mission Drive /Loma Avenue
2. Valley Boulevard /Temple City Boulevard
3. Mission Drive /Earle Avenue
4. Hellman Avenue /10 Freeway ramp
5. Walnut Grove Avenue /Ramona /Hellman Avenue
(b) Invoice DISTRICT monthly for crossing guard services at
locations specified. Invoices submitted by the CITY
shall be accompanied by the bi- weekly.time sheets
completed by the crossing guards and appropriate
supervisory staff at the locations specified.
DISTRICT agrees to:

(a) Reimburse CITY monthly upon receipt of an invoice
prepared by CITY for its actual costs of providing the
additional crossing guards requested by DISTRICT. The
estimated annual costs for the crossing guards are as
follows. Estimates are based on 17.5 hours per
crossing guard per week during the course of an 180 day
school year.
Earnings, Benefits, Employer taxes for guards (5) $19,000
Worker's Compensation Coverage (5) $ 2,500
Administration /Supervision /Training $ 5,000
Estimated Annual Total $26,500
3. Neither CITY nor any officer or employee thereof shall be
responsible for any damage or liability occurring by reason of
anything done or omitted to be done by CITY employees in
connection with any work or authority delegated to CITY by
DISTRICT. DISTRICT shall protect, defend, indemnify and hold
harmless CITY, its officers, agents, employees and
contractors, from and against any and all claims, damages,
losses, liabilities or judgments, including attorney's fees
arising out of or resulting in any way from work performed by
CITY under this Agreement unless such liability is due
exclusively to the sole negligence or willful acts of CITY,
its officers, employees or agents.
