Agreement, dated June 29, 2010, by and among E. J. De La Rosa R Co., Inc., the Authority and
the Rosemead Community Development Commission, are true and correct on and as of the date
hereof as if made on the date hereof, and
(c) that no event affecting the Authority has occurred since the date of the Official
Statement, dated June 29, 2010 (the "Official Statement"), relating to the $11,230,000 aggregate
principal amount of the Rosemead Community Development Commission Rosemead Merged
Project Area Tax Allocation Bonds, Series 2010A, which has not been disclosed therein or in
any supplement or amendment thereto which event should be disclosed in the Official Statement
in order to make the statements therein, in the light of the circumstances under which they were
made, not misleading.
