COMMUNICATION SYSTEM REQUEST FOR PROPOSAL
Attached for your consideration are the Request for Proposal specifications for a new phone
system for City Hall. At the March 23, 1999 Meeting, the Agency approved a contract with Corn
Consultants for assisting us in the purchase of a new phone system. Per the agreement the
consultant met with staff and developed the attached Request for Proposal specifications. Award
of bid is scheduled for September 14, 1999 with the system up and running by the second week in
November.
Mr_ Don Bushor, of Corn Consultants will be at the meeting on Tuesday to answer any questions
you may have_
RECOMMENDATION
It is recommended that the Rosemead Redevelopment Agency approve the attached Request for
Proposal and direct staff to advertise and solicit proposals.

The enclosed communication system request for proposal (REP) contains specifications for
a new telecommuniation system, voice messaging server, system administration server
and an uninterrupti le power supply. This document describes to the vendors the
technical requireme is for your new communication platform.
The City of RosemeadjRedevelopment Agency must also produce a legal document that will
accompany the techthical specifications. This document will contain the protections that
are necessary durin4) the procurement process and the implementation of your new
communication platform. A sample of a City document is enclosed for reference.
On page seven of the RFP, we have included a time schedule for the project. The system
can be in service on tJovember 2, 1999, if you desire. The schedule can be shortened or
lengthened to match the precise requirement of the City.
Also Included in this deport is a suggested bidders list. The complete bid package including
City requirements and technical specifications can be mailed to these nine vendors and any
other vendors that the City wishes to include.
COM Consultants will handle the pre-bid meeting, the bid evaluation, the system
programming, the irfplementation supervision and the auditof the completed system.

SECTION ONE
INTRODUCTION AND INSTRUCTIONS

1-1 SCOPE
The purpose of this Request for Proposal (RFP) is to define the requirements
for a new telecommunication platform including a voice messaging system
and a call management system for the City of Rosemead.
1.2 GLOSSARY OF TERMS
CLIENT - The City of Rosemead.
VENDOR - private communication equipment provider(s) who will furnish,
install and maintain the complete telecommunication platform.
BIDDER - vendor(s) who submits an acceptable proposal per this request.
CONTRACTOR - bidder(s) who are awarded a contract for this project.
TELCO - Pac Bell - the local exchange carrier (LEC) who currently provides
central office services.
CONSULTANT - COM Consultants, a computer/telephony consulting company
that is under contract to provide objective communication consulting
services.
1.3 DESCRIPTION AND LOCATION OF WORK
The City of Rosemead has a centralized telephone system installed in the
lower level of the City Hall building. This system provides service to all
departments in the City Hall, all Community Centers and all Recreation Centers.
The current system does not provide voice messaging service (see Exhibit 1-A).
A Harris Lanier XXXII telephone system was purchased and installed
approximately twelve years ago. The hardware, software, and instruments are
obsolete and are not Year 2000 compliant. To achieve compliance, the entire
system must be replaced before January 1, 2000.
1.4 DESCRIPTION OF APPROACH
A new centralized telephone system will be installed. The new hardware
configuration will include new rack mounted processor cabinets; a new
operator console; new digital multi line instruments, new analog single line
instruments, a new voice messaging system, a new call management system,
and a new uninteruptable power supply. All new equipment must be Year
2000 compliant.

The City has ten off-site locations that are currently serviced by Pacific Bell off-
premise extensions. The new configuration will utilize approximately thirty
Pacific Bell Centrex lines to these buildings. The contractor will furnish and
install new instruments and voice station cables to each work station in the
off-premise buildings (see exhibit 1-B).
COM Consultants will furnish the data base for the telephony programming
required to implement the new North American dialing plan and new area
codes and prefixes. Programming includes calling area, system service,
feature access, feature assignments for multi-line, feature assignments for
single-line, network service, automatic route selection and trunk
configuration. The contractor shall be responsible for additional data base
including station programming, station assignments and for designating
existing and new telephone locations on provided floor plans.
1.5 EXAMINATION OF DOCUMENTS AND SITE OF WORK
The BIDDER is urged to examine carefully the specifications and forms. The
submission of the RFP shall be the conclusive evidence that the BIDDER has
investigated and is satisfied as to the requirements of the Request for
Proposal specifications.
1.6 RFP PRICES
The BIDDER shall submit price quotes for direct purchase of the telephone
systems to be provided herein. Price quotes for the systems and
supplemental components shall include all equipment, material, labor and
transportation required for complete installation of the systems as specified
herein. Any discount or price reductions that are available because COM
Consultants is furnishing the data base for programming should be applied as
a deduction to the cash purchase price.
1.7 DIRECTION FOR COMPLETING RFP FORMS
Three complete copies of the request for proposal must be delivered to the
City on and in accordance with the forms provided in these specifications. All
information required on these forms must be submitted to constitute an
acceptable response. No alterations, erasures, or additions are to be made on
the typewritten or printed matter, unless initialed in ink. All information
required by the RFP must be legible, type-written if possible. Signature must
be handwritten and in ink.
All blanks must be filled in with the requested response. In the case of YES,
NO or NA responses; a YES response requires no explanation or comment.
A NO answer MAY be explained in BIDDER exceptions. An NA answer SHALL
require an explanation in BIDDER exceptions. Illegible, incomplete or vague
responses, or responses which do not fully comply herewith, shall be
rejected. More than one response from any BIDDER will not be accepted.

1.8 GENERAL CONDITIONS
All work shall be done in strict accordance with the specifications, shall
comply with all pertinent general public laws of the State, the City and the
County of said State in effect at the time of the execution of the contract;
shall be of professional quality; in accordance with usual and customary
standards in the telecommunication industry; shall be performed by
competent workmen; and be subject to inspection and final acceptance by
the city.
During the mandatory pre-bid conference, each pertinent question will be
recorded. These questions and the researched answers will be sent to each
vendor who attended the conference, as an addendum to the specifications.
Each addendum becomes an official component of the bid specifications.
Three signed copies of each addendum shall be returned in the bid package.
The written addenda shall cancel and replace any verbal information
exchanged at the pre-bid conference.
Any additional questions concerning the meaning, content, or intent of these
technical specifications must be addressed to C 0 M Consultants, 22066
Cedardale, Diamond Bar, CA 91765, in writing. Interpretation of the
specifications will be made only by written addendum which will be mailed
to all interested bidders. Such addenda shall be binding to all bidders. It shall
be the duty of each bidder to make certain that copies of all addenda issued
have been received.
Any BIDDER may request any additional information he feels is necessary
in order to submit a firm bid. However, the request must be received in
time for an adequate answer and be provided at least ten days before the
bid opening. It will be solely the decision of the Client and COM Consultants
as to whether the additional information is pertinent and can be adequately
answered and/or provided prior to the bid opening date.
The Client assumes no further responsibility for interpreting the intent or
meaning of these specifications after the bids are submitted.
1.9 EVALUATION OF BIDS
The evaluation of bids will include, but not be limited to, the following
considerations: conformance to bid specifications, bidder's stability,
reliability and organizational service capabilities; system features, capabilities
and reliability; system life expectancy and expansion capabilities; processor
technology and compatibility with data processing; bidder's maintenance
and training capabilities; installation and cut over time frame; and life cycle
costs.
For the purpose of comparing costs for direct purchase or lease purchase
of the telephone system, the Client shall calculate the ten-year "life cycle"
cost. Life cycle costs include: equipment, maintenance, Telco line charges,
yearly and cumulative costs. The annual rate of increase on variable costs will
be calculated at seven percent (7%) per annum.

1.10 AWARD OF CONTRACT
The contract shall be awarded with reasonable promptness by giving written
notice to the responsible BIDDER whose proposal will be the most
advantageous to the Client with respect to price, conformity to the
specifications and the factors listed in Section 1.9. Price may not be the sole
factor in making the contract award. The client reserves the right to reject
any or all proposals, to accept or to reject any one or more items of a
proposal, or to waive any irregularities or informalities in the proposals or in
the process.
1.11 CONTRACT FORM
The selected bidder shall be required to enter into a written agreement
with the City. The complete contract document will include the RFP
specifications, the BIDDERS response to the specifications, all addenda to the
specifications, all written responses from the BIDDER, and any VENDOR
agreement forms approved by the City.
1.12 PAYMENT SCHEDULE
The Client will select either a Cash Purchase from the selected BIDDER or a
Lease Purchase. If a lease purchase is selected, the Client is willing to pay a
maximum down payment of 10% of the agreement price upon complete
execution of the agreement. If a cash purchase is selected, the following
payment schedule is acceptable to the Client:
• A fifteen percent (15%) down payment upon complete execution of
the agreement.
• An additional twenty-five percent (25%) payment upon completion of
cabling and delivery of all hardware.
• An additional twenty-five percent (25%) payment upon completion of
the initial installation and a complete cut over of the system.
• An additional twenty-five percent (25%) payment upon correction of
all installation errors and acceptance of the system.
• A final ten percent (10%) payment, thirty-five (35) days after
acceptance of the entire system.

2.1 BIDDER QUALIFICATIONS
The BIDDER shall comply with each of these requirements.
2.1.1 Complete Proposal
Has included all labor, materials, equipment and transportation necessary for
providing and installing the communication systems as specified herein.
2.1.2 Experience
Has engineered, provided, installed and maintained for a minimum period of
five (5) years complete telephone systems of a comparable size and
equipment technology as specified herein.
2.1.3 Local Parts Inventory
Maintains at all times within 50 miles of the Client, an inventory of all parts
necessary to insure complete, continuous and timely service of this system.
2.1.4 Local Service
Maintains at all times within 50 miles of the Client, a service organization
capable of installation and complete and timely maintenance of all equipment
he proposes.
2.1.5 Authorized Signature
Has included three (3) signed copies of the RFP package and any requested
addenda. The signer is legally authorized to approve contracts for the bidder.
If the bidder is a corporation, two (2) corporate officers are required to sign.
2.1.6 Warranty
Has included in the price a full one year warranty on all new hardware and
software. The warranty period begins after written acceptance of all installed
systems by the Client.

2.4 MATERIALS AND MAINTENANCE
The contractor shall comply with each of the following materials and
maintenance requirements.
2.4.1 Standard Products
All sub-systems, components, wire, cable and accessory hardware shall be
standard products of an established and reputable manufacturer. All
equipment and materials supplied by contractor shall be new.
2.4-2 Skilled Workmen
Be responsible for furnishing skilled workmen. All materials and equipment
shall be installed according to manufacturer's specifications.
2.4.3 Guarantee
All systems, sub-systems and component parts are fully guaranteed against
defective design, materials and workmanship for a minimum of one year
from the date of completed installation by warranty of contractor.
2.4.4 Service Availability
Agrees to furnish full maintenance services including all parts and labor for
a minimum time of ten years after system cut over.
2.4.5 Telco Coordination
Takes full responsibility for coordinating with TELCO and for solving all
TELCO-related problems.
2.4.6 Telco Testing
Prior to cut over date, contractor will request and coordinate with TELCO, a
dB (decibel) level balancing test for measuring trunks. Contractor shall take
full responsibility for identifying each circuit and for verifying all trunks and
T-ls are working properly on the day of cut over.
2.4.7 Cable Identification
All cables, wires, outlet jacks and distribution blocks shall be clearly marked.
All new cable shall be completely installed without splices. A plan shall be
submitted for approval to be used for all identifications.

2.5 CUSTOMIZED SERVICES
The contractor shall comply with each of the following customized service
requirements.
2.5.1 User Training • Classes
Meet with Client representatives to establish the time schedule and
guidelines for user training. All users will be trained by the equipment vendor
at the site. The materials presented shall be approved by Client
representatives prior to presentation.
2.5.2 User Training - Aids
Develop customized user training aids. Multi-line and single-line users
instructions shall include only the features and applications that are relevant
to the Client system.
23.3 System Management Training
Provide system management training for two specified Client employees to
perform routine adds, moves and changes via the system administration
server. These trainees will be trained to make changes in the telephone, call
management and voice messaging systems.
2.5.4 Software Changes
Provide minor programming changes at no additional charge for thirty-five
days after system acceptance.
23.5 Disconnect, Removal and Clean-up
Take full responsibility for the disconnect and removal of each of the present
systems and remove all cable, blocks and connectors that are no longer
required. The contractor shall at all times maintain a clean work environment.

3.3 CERTIFICATION
A detailed description of the contractual arrangements with the
manufacturer of the proposed digital system and verification that the bidder
is certified by the manufacturer to install and maintain the proposed systems.
3.4 SUBCONTRACTORS
A listing of the name, address, and telephone number of each proposed
subcontractor, and detailed explanation of the role of each subcontractor
involved in providing the proposed systems and services.
3.5 - IMPLEMENTATION PLAN
A detailed implementation plan for installing the proposed systems and
services.
3.6 MANUALS
Include user guides, brochures, catalogs, technical specifications, and
technical manuals that describe in detail the hardware, software, applications,
and peripheral components that are being proposed. Also, include samples
of call accounting and voice messaging management reports.

3.7 EQUIPMENT LIST
A detailed list (Schedule A), for each Client system of all hardware and
software required for the complete installation of the platform as specified.
The list shall include the part name, part number, quantity, and description
for each item required.
3.8 EQUIPMENT DIAGRAMS
A bayface layout for each Client system that displays all cabinets, components,
and cards that are included in the bid prices for the proposed system.
3.9 ALTERNATE SOURCES OF MAINTENANCE
A listing of three alternate maintenance vendors with a service office within
50 miles of the Client, that are qualified to take over the maintenance of the
proposed systems.
110 AS-BUILT DOCUMENTATION PACKAGE
The contractor shall provide:

SECTION FOUR
TELEPROCESSOR TECHNICAL SPECIFICATIONS
The City of Rosemead requires a communication platform for present and
future voice, data and video applications. The technical requirements for the
hardware, software, instruments, cables and protections are established in
this section. The number of components will be described in section five.

4.1 SYSTEM HARDWARE
The contractor shall provide and install a rack mounted, computerized, digital
central processor unit in the communication equipment room that will
function as the communication hub for present and future network
transmission with the following capabilities.
4.1-1 Digital
The system shall provide digital processors, digital internal transmission,
digital instruments, digital data access, digital T-1 access, integrated services,
digital network (ISDN) with primary rate interface (PRI) and full feature
transparency across the digital services.
4-1.2 Modular
The flexible platform shall provide expansion by adding new cards to the
proposed cabinets and by adding new rack-mounted modules to the
proposed system.
4.1.3 Non-Blocking
The system matrix shall be non-blocking with a rating of 36 CCS.
4.1.4 Connectivity
The platform shall interface transparently with the voice messaging server, an
optional call accounting device and the uninterruptible power supply.
4.1.5 Dual Tone Multi-Frequency (DTMF)
The system shall out pulse DTMF signals from the system, the system console
and all instruments touch pad buttons including the # and *.

• 4.1-6 Analog
The system shall support analog line cards for connection to analog
instruments, voice messaging system ports, facsimile machines and data
modems.
4.1.7 Rotary Dial-Pulse
The system shall support the optional ability to deploy rotary dial instruments.
4.1.8 Private Automatic Branch Exchange (PABX)
The system shall provide true PABX functions including dial 9 for network
access, multiple individual station display on digital instruments and direct-in-
dial MID) to all digital or analog instruments.
4.1.9 Message Lamps
The message lamp on each instrument shall be activated from the voice
message system.
4.1.10 Hearing Impaired Standards
All systems and instruments shall meet or exceed established industry
standards and FCC requirements for the hearing impaired.
4.1.11 Music On Hold
The system shall provide an internal music capability for any calls placed on
hold. The contractor is not responsible for the music source.
4.1-12 Automatic Program Reload
The system shall automatically reprogram itself internally in the event of a
program loss.
4.1.13 Access Ports
Remote maintenance and call accounting shall utilize RS-232C/EIA-2320 ports.
4.2 SYSTEM SOFTWARE
The contractor shall provide the most current software release from the
manufacturer with the following capabilities.
4-2.1 Networking
The ability to network all work stations into one transparent platform that
extends voice and data applications from any work station on the network to
any other work station on the network.

4.2.2 Direct-In-Dial (DID)
The ability for an incoming call from the public network to reach any station
line on the network and then to be transferred or forwarded to other
stations within the system or to the voice mail system without operator
assistance.
4.2.3 Direct-In-Dial Intercept
The ability for incoming calls to any unassigned DID station number to be
forwarded to an announcement in the voice messaging system.
4.2.4 Direct Out Dial (DOD)
The ability for any station user to dial out of the system via dial 9 followed by
the desired telephone number.
4.2.5 Station To Station Dialing
The ability for any station user to reach another station on the network by
dialing three digits.
4.2.6 Least Cost Routing
The ability to route outgoing calls from any work station on the network to
the most economical trunk group by comparing the first six digits dialed with
tables pre-programmed by area code and by central office code. The
program will also provide the ability to insert, delete, or repeat routing digits.
4.2.7 Speed Dialing
The ability to automatically dial a programmed telephone number when a
three digit speed code is dialed. A minimum of 100 telephone numbers of up
to 16 digits each shall be stored in the system.
4.2.8 Calling Area Service Code
The ability to provide a minimum of five calling area service codes assignable
to any station line in the system.
4.2.9 Data Security
The ability to prevent system call processing warning tones and other system
features from interfering with the transmission of data.

4.3 STATION SOFTWARE
The contractor shall provide these station software capabilities.
4.3.1 Call Transfer
The ability for any station to transfer an incoming or outgoing call to any
other station.
4.3.2 Consultation
The ability for any station to place an incoming or outgoing call on electronic
hold and privately consult with another station or outside party from the
same station.
4.3.3 Conference
The ability for any station user to place an incoming or outgoing call on
electronic hold and invite another station or outside party to join in a
three-way conference from the same station.
4.3.4 Call Hold
The ability for any user to place any call on hold by depressing the hold
button.
4.3.5 Call Pickup
The ability for any station user to dial an access code to answer any call
directed to another station line within a preset pickup group.
4.4 DISASTER PREVENTION
The contractor shall provide all of these system disaster prevention
capabilities.
4.4.1 Surge Protection
All equipment provided by the contractor shall have AC power fed through
surge protection filters. The filters shall provide isolated surge and noise
protection including UL 1449 suppressed voltage rating of 330V, one
picosecond maximum response time and surge protection shall automatically
reset within one second after commercial power returns to normal.

4.4.2 Uninterruptible Power Supply (UPS)
The contractor shall provide UPS, internal or external battery back-up with gel
cell batteries that will power the system for a minimum of two hours at
maximum current drain per the manufacturer's specifications. The system
shall include automatic recharging of the batteries.
4.4.3 Power Failure Transfer
The contractor shall provide 8 central office trunks that are automatically
connected to preselected analog stations for incoming and outgoing calls in
the event of a power failure. Contractor shall label power failure instruments
for easy identification.
4.4.4 Grounding
The contractor shall connect a UL approved solid copper #6 AWG ground wire
to a bonded cold water pipe within 30 feet of the system cabinets. The
contractor shall ground each distribution frame to the building utility/earth
ground.
4.4.5 Lightning Protection
The contractor shall verify that the lightning protection devices installed on
premise for the central office lines are adequate to protect all furnished
equipment. The contractor shall call to the attention of the LEC all
deficiencies for the purpose of remedial action and will verify the satisfactory
completion of such action prior to acceptance.
4.4.6 Year 2000 Compliance
The contractor shall confirm that all hardware and software proposed shall
meet the industry standards for year 2000 compliance.
4.5 TOLL THEFT PREVENTION
The contractor shall provide all of these system toll theft protections.
4.5.1 Toll Services
Provide software and hardware that will maximize the protection of toll
services.
4.5.2 System Access
Provide security of the access numbers and codes on all remote maintenance
modems.

4.53 Restrictions
Block various NANP service codes including, but not limited to international
calls, calls to area codes 809 and 900 and calls to prefix 976 from any area code.
4.5.4 Voice Messaging Ports
Prevent dial 9 access on voice messaging ports.
4.6 INSTRUMENT STANDARDS
The contractor shall provide these instrument standards.
4.6.1 Analog Instruments
Provide analog single-line (ASL) desk instruments equipped with a message
lamp, a hold button, a minimum of eight programmable feature activation
buttons and an RJ-11C modular jack.
4.6.2 Analog Conference Instruments
Provide analog single-line (ASL) desk instruments equipped with hands-free,
two-way speaker phone ability, a message lamp, a hold button, a minimum of
eight programmable feature activation buttons and an RJ-11C modular jack.
4.6.3 Digital Instruments
Provide digital multi-line (DML) instruments equipped with a message lamp or
display, a hold button, a minimum of eight station line buttons and eight
programmable feature activation buttons, hands-free two-way speaker phone
ability, dial intercom, digital display, ringer volume control, nine-foot handset
cord, and an RJ-11C modular wall jack.
4.6.4 Long Handset Cord
Full modular RJ-11C twelve foot long handset cord.
4.6.5 Long Line Cord
Full modular RJ-11C twenty-five foot long line cord.
4.6.6 Operator Console
Provide an attendant console which has a digital display, non-blocking line
keys with LED lamps and an integrated busy lamp field. Display functions shall
include incoming call identification, system status information, indication of
calls waiting, and class of service. A headset may be connected on either side
of the console.

4.6.7 Attendant Conference
Provide the ability for the console attendant to connect a minimum of five
stations and/or trunks to create a conference call.
4.6.8 Modems
Provide remote maintenance modems that meet the V.32bis ITU-T standard.
4.7 STRUCTURED CABLING SYSTEM
The contractor shall supply, install, label, test, and participate in acceptance
of a structured cabling system. The materials used in this installation shall
follow universal standards approved by FCC, UL and the emerging standards
of EIA/TIA 568. The contractor shall adhere to local regulations and codes,
when more stringent, for the installation process.
NOTE: Every work station in the City Hall building has been pre-wired for voice
and data per these specifications(see Exhibit 5-A). The contractor will provide,
install and maintain new voice only cables in all off-premise buildings (see
Exhibit 5-B).
4.7.1 Voice Station Cable
Provide Category 5 - 100 OHM, 24 AWG thermoplastic insulated solid copper
conductors formed into four individual unshielded twisted pairs enclosed by
a type CMP plenum rated jacket. The cable shall meet all requirements of
EIA/TIA-568 standards and shall be sweep tested to 16 MHZ. Home run from
the voice connector block to each work station (assume average length of 150
feet).
43.2 Data Station Cable
Provide Category 5 - 100 OHM, 24 AWG thermoplastic insulated solid copper
conductors formed into four individual unshielded twisted pairs and enclosed
by a type CMP plenum rated jacket. The cable shall meet all requirements of
EIA/TIA-568 standards and shall be sweep tested to 100 MHZ and then tested
for shorts, opens, continuity, and proper pin out. The results will be logged
and provided as a part of the documentation package. Home run from the
data connector block to each work station (assume average length of 150
feet). Data cable must be labeled and installed in a color which differentiates
it from the voice cable.

43.3 Voice Distribution cable (If Required )
Provide Category 5 - 100 OHM, 24 AWG thermoplastic insulated solid copper
conductors formed into 100 individual unshielded twisted pairs and enclosed
by a type CMP plenum rated jacket. The cable shall meet all requirements of
EIA/TIA-5686 standards and shall be sweep tested to 16 MHz. Home run from
the voice connector block to the telephone computer room. Voice
distribution cable will be installed in multiples of 100 twisted pairs as required
whenever voice cables cannot be Home run from the voice connector block
to each work station.
43.4 Data Distribution Cable (If Required )
Provide Multimode, graded-index twelve-strand optical fiber waveguide with
nominal 62.5/125 micron core/cladding diameter. The cable shall be gel filled,
loose tube construction with Kevlar central strength member and enclosed
in a medium density polyethylene (MDPE) jacket. The cable shall meet all
requirements of EIA/TIA-568 standards.
4.7.5 Voice and Data Connector Blocks
All voice cables will be terminated on Category 5 (or better) type 110 high
density blocks. All data station cables will be terminated on 48 port, Category
5 type 110 high density rack mounted patch panels. All four pairs of voice and
data cables will be terminated on the connector blocks. Terminations will be
positioned in two separate groups for voice and data.
4.7.6 Voice Connector Modular Inserts
The four pair voice station cable will be divided into two groups of two pairs
each. Two pairs will terminate on a white (telephone) RJ11C module and the
other two pairs will terminate on a black (auxiliary) RJ11C module. Both pairs
will be terminated per the CAT 5, EIA/TIA 568 standards.
4.7.7 Data Connector Modular Inserts
Data station cable will terminate on a red RJ-45 module per CAT 5, EIA/TIA 568
standards.

4.7.8 Modular wall Plates
Each work station will require a single gang modular wall plate with four
openings for voice and data inserts. The white and black voice inserts will be
installed in the top openings. The red data insert will be installed in the
bottom left opening. Green data inserts will be installed in the remaining
opening.
4.7.9 Equipment Racks
The communication equipment room will require 19" or 23" wide x 84" high
equipment racks with power strips and horizontal cable ladders.
4.7.10 SC Fiber Optic Connectors (If Required)
SC fiber optic connectors will be installed and labeled on both ends of each
strand of optical fiber cable.
4.7.11 Fiber Optic Panels (If Required)
Rack mounted panel with twelve SC outlets and fiber management panels.
4.7.12 Data Patch Panel
Rack mounted patch panels with forty-eight, RJ-45 CAT-5, EIA/TIA 568 ports.
4.7.13 Wire Management Panels
Rack mounted panel for management of UTP data cables.
4.7.14 Data Patch Cords
Patching of user ports to system ports shall utilize factory manufactured red
CAT-5, EIA/TIA 568 patch cables in 5 foot lengths.
4.7.15 Workstation Conduits (Electrical Contractor)
During any new construction or remodel, it may be appropriate to install
conduit within the interior or exterior walls. All new conduit in an office or
at a work station should be EMT stubbed up from the outlet box to the ceiling
plenum with a plastic end cap. Bends should be avoided or minimized.
Minimum inside diameter shall be one inch.

• 4.7.16 Outlet Boxes (Electrical Contractor)
During new construction or remodel, each work station shall be equipped
with a single gang metallic wall outlet box installed to accommodate the voice
and data modular wall plate.
4.7.17 Testing and Labeling
All installed UTP cables and termination components shall be tested utilizing
a time domain reflectometer (TOR). This test shall certify that all copper
channels are Category-5 compliant. The customer shall be presented with all
test results for each cable in the network as part of the as-built document
packd

Any optional fiber optic cable will be terminated with SC style fiber optic
connectors on each end. In the equipment rooms, the fiber will be
terminated into a rack mountable fiber optic enclosure. Each cable segment
will be labeled and tested with an OTDR and power meter for length and db
loss in both directions for connectivity. Readings will be provided at 1300 and
850. The results will be logged and provided as part of the documentation
package.

6.3 VOICE MAIL APPLICATIONS
Public service requirements will limit the application of voice mail on
advertized City telephone numbers.
6.3.1 Mail Boxes
The contractor will provide a voice mail box at every staff work station
instrument, and for every department night line.
6.3.2 Mail Box Numbers
The telephone number assigned to each internal mail box must match the
telephone extension number.
6.33 Personal Greeting
Each subscriber shall have the capability to record a personal greeting that
will be played to incoming callers, station to station callers, and automated
attendant callers who have been transferred to the subscriber's mail box.
6.3.4 Security Code
Each subscriber shall have the capability to enter a personal security number
before messages can be delivered. This feature can be made mandatory for
all subscribers.
6.3.5 Message Status
The system shall inform each subscriber of the total number of new messages
upon sign-on.
6.3.6 Group Messages
The system shall enable in-house callers to record one message and distribute
it to a pre-determined group of mail boxes.
6.3.7 Automatic Forwarding
Each station number will forward to the assigned mail box if the station is
busy or unanswered.
6.3.8 Caller Assistance
Each personal greeting shall be capable of offering the option of dialing 0 for
assistance. A caller who dials 0 will be forwarded to the department call
center or to the attendant.

6-39 Message Retrieval
Subscribers shall have the capability of leaving or retrieving messages from
inside or outside the office twenty-four hours a day.
6.3.10 Message Indication
The system must activate message waiting lamps on all instruments that are
equipped with lamps and are directly connected to the telecommunication
system.
6.3.11 Pager Notification
A caller shall have the capability of depressing a code number after leaving an
urgent message for a staff member. The system will then outdial a message
to the pager to notify that an urgent message is waiting.
6.3.12 Message Creation Controls
The system shall provide re-record, pause, review, and destination verification
features.
6.3.13 Anytime Availability
Voice mail functions shall be available twenty-four hours per day, seven days
per week.
6.3.14 Voice Mail Management
The system administrator shall be capable of assigning new mail boxes and
managing message storage, based upon management reports provided by
the system.
6.4 AUTOMATED ATTENDANT APPLICATIONS
Public service requirements will limit the application of automated attendant.
Most calls will be answered by a real person.
6.4.1 Customized Greetings
Callers shall be greeted by customized scripts that have been edited and
recorded by the system administrator.

instrument which has the personal greeting turned on. When a line is busy

Automated attendant menus shall be available twenty-four hours per day,
seven days per week.
6.4.6 Automated Attendant Management
The system administrator shall be capable of managing and changing menus
and scripts based upon management reports provided by the system.
6.5 INFORMATION ANNOUNCEMENT APPLICATIONS
Public service announcements will be limited to approved applications and
callers will always have the option of dial 0 for a real person.
6.5.1 Customized Scripts
General information scripts can be written, recorded and shared with any
caller who requests information on a prerecorded topic.
6.5.2 Universal Availability
The announcements can be selected as part of a menu or the caller can be

9.3 GUARANTEED MAINTENANCE RATES
The contractor guarantees to furnish this full maintenance contract for the
new systems as specified in the RFP including all components at the prices
listed below. Prices will increase only when the size of the system increases or
components are added. The contractor shall provide one contract and one
service company for all systems.

The maintenance contract shall provide replacement of all defective parts
and/or components plus on-site service Monday through Thursday from 7:00
A.M. to 6:00 P.M. Emergency service shall be available seven days per week, 24
hours per day with a two hour on-site response. Emergency response labor
charges shall be separately billed to the Client if they are required before or
after the normal business hours listed above.
Guaranteed maintenance rates include service on all supplemental
components including UPS System, Voice Messaging System, Call Management
System and a yearly update of the area codes and prefixes in the call
accounting and the least cost routing charts.
The service technician shall work to completion on all problems as long as
reasonable progress is being made. The technician will be required to sign in
and out and to report the status of the problem in writing before departure.
The hourly rate for work requested beyond the scope of the specifications

A Vendors Conference will be held on 8838 E. Valley Boulevard, Rosemead, in
the conference room. Please review the attached Request for Proposal and present any questions at
the vendors conference. Attendance at the vendors conference is mandatory in order to submit a
proposal.
Your participation in the project will be greatly appreciated. Please telephone the City Manager's
Office at (626) 288-6671 to confirm your attendance at the vendors conference.
SUBMITTAL OF PROPOSALS
Your signed proposal, with a Proposal Security Bond in the amount of 10% of the total amount of
proposal, must be sealed and submitted on or before in the Office of the
City Clerk. Please submit three (3) signed copies of your complete proposal to the City Clerk.
Proposer will also be required to submit a Faithful Performance Bond (Exhibit C)and Payment Bond
(Exhibit D)before final award of Contract. The Rosemead City Clerk's Office is located at the City
of Rosemead, 8838 E. Valley Boulevard, Rosemead, California 91770. The words "SEALED
PROPOSAL-VOICE COMMUNICATION SYSTEM" shall appear on the face of each package
containing a proposal.
Pleace note that there will be NO public opening of proposals. Prices and other proposal information
shall not be made public until the proposal is submitted to the City Council.

TERMS AND CONDITIONS
Right to Reject Proposals
1. The City retains the right to reject any or all proposals, to waive any specifications (both the
City's specifications and bidder's response)and any informality or irregularity and to sit and act
as sole judge of the merit and qualifications of each product offered. Proposer's past
performance and the City's assurance that each proposer would provide the equipment and/or
services as proposed will be taken into consideration when proposals are being evaluated.
2. Proposers agree to honor said proposal for a period of ninety(90) days.
3. Proposals are to be submitted on the forms provided in the attached proposal package. Failure
to provide all information required in this Request For Proposal may result in your proposal
being rejected as incomplete and non-responsive. All prices, terms and availability and any
other conditions must be complete and in written form.
4. Quantities of equipment have been reviewed for accuracy, however, they may be subject to
change prior to award of contract.
Proposal Evaluation
1. All proposals received shall be evaluated with the emphasis placed on the proposers ability to
meet the City's requirements, the responsiveness of the proposals, references, cost and payment
terms. Other factors such as ability to meet delivery dates, quality of work performed in the past
and general competence of the proposer shall be scrutinized very carefully. Cost shall be
evaluated for adequacy, realism and reasonableness.
2. The City need not select the lowest cost proposal, but may choose according to what is in the
best interest of the City. Awards shall be made to the most responsible proposer whose proposal
is determined to be the most advantageous to the City.
3. The evaluation of proposals will include, but not be limited to, the following considerations:
conformance to proposal specifications, proposers stability, reliability, and organizational service
capabilities; system features, capabilities and reliability; system life expentance and compatibility
with data processing; proposers maintenance and training capabilities; installation and cut-over
time frame; and life cycle costs.
4. Each proposer must state in his Proposal the extent of his experience and give references that
will enable the City to investigate his expehence, skill and business standing, if necessary. Any
bid not complying with this requirement may be rejected without further consideration.

Disclosure
It should be noted that this is a sealed proposal and not a competitive sealed bid. When proposals
are opened, prices and other proposal information will not be made public until the proposal is
awarded. There shall be no disclosure of any proposer's information to competing proposers prior
to the award of the proposal. At the time, the executed agreement and proposals will become public
information.
Interviews
Upon determination by the City, discussions may be held with one or more responsible proposers for
purposes of clarification of their proposals. The City may award based on initial proposals received,
without discussion of such proposals. Accordingly, each proposal should be submitted on the
vendor's most favorable terms from a price and technical standpoint.
Award of Agreement
1. The proposal shall be awarded with the reasonable promptness by giving written notice to the
responsible Proposer whose proposal will be the most advantageous to the City with respect to
price, conformity to the specifications listed herein.
2. The City also retains the rights to combine various proposed items and/or alternates or to
purchase separate items from any proposal when price and terms quoted are more favorable to
the City.
3. The selected Proposer shall be required to enter into a written Agreement with the City. A
sample of the Agreement is included in the proposal package, refer to Exhibit B. The complete
contract documents will consist of the Notice Inviting Proposals, the Terms and Conditions, the
Agreement, the Proposal Specifications, the Proposal, and all written responses to questions
raised by the Proposer prior to the submittal of the Proposal.
Sales Tax
I. The City may take account of and a deduction may be made for the amount of sales tax revenue,
if any, that the City will receive as a direct result of the proposed purchase transaction.
2. The City shall pay State of California sales tax. The City is exempt from federal excise tax.
3. When sales taxes are applicable, Proposer shall include an amount sufficient to cover said tax in
all proposal prices; otherwise, sales taxes shall be presumed to be included in proposals.

Bonding Requirements
I. Proposal Bond (Exhibit B) -Each proposal must be accompanied by a certified or cashier's
check payable to the City of Rosemead, or a proposal bond executed by a corporate surety
authorized to do business in the State of California in the sum of not less than ten percent
(10%) of the total amount of the proposal, as a guarantee that the proposer will enter into the
Agreement if A be awarded to them.
2. Faithful Performance Bond (Exhibit C)-The proposer to whom the agreement is awarded by
the City shall execute the agreement and furnish a surety bond in the amount of 100% of the
agreement price guaranteeing the faithful performance of the Contract and it shall remain in
force for a period of one year.
3. Payment Bond (Exhibit D) - An additional bond for fifty percent (50%) of the Agreement
price shall be furnished to secure the payment of claims for labor and materials furnished for
the work.
Default
If the proposer to whom award is made fails to enter into the Agreement as herein provided, the
award will be annulled, the City shall have recourse against the Proposal Bond, and an award may
be made to the next responsible proposer, and such proposer shall fulfill every stipulation
embraced herein as if they were party to whom the first award was made.
A copy of the City's proposed Agreement has been provided for your reference. In it are the
City's indemnification, insurance and other legal requirements. Please review it for additional
information and be sure to include its requirements in your proposal.

AGREEMENT
BY AND BETWEEN
THE CITY OF ROSEMEAD
AND
THIS AGREEMENT is entered into this day of by and between the CITY OF
ROSEMEAD,a municipal corporation(the'CITY'),and (the"CONTRACTOR').
RECITALS
WHEREAS, the CITY desires to employ a CONTRACTOR to provide and install a new voice
communications system.
WHEREAS, the CITY has determined that the CONTRACTOR is qualified by experience and
ability to perform the services desired by the CITY,and the CONTRACTOR is
willing to perform such services.
NOW,THEREFORE,THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS:
1. ENGAGEMENT OF CONTRACTOR-The CITY hereby agrees to engage the
CONTRACTOR and the CONTRACTOR hereby agrees to perform the services hereinafter set forth in
accordance with all terms and conditions contained herein. The CONTRACTOR represents that all services
required hereunder will be performed directly by the CONTRACTOR or under direct supervision of the
CONTRACTOR
2. SCOPE OF SERVICES-The CONTRACTOR will perform services as set forth in the attached
Exhibit A (Proposal).
The CONTRACTOR shall be responsible for all research and reviews related to the work and shall not
rely on personnel of the CITY for such services,except as authorized in advance by the CITY. The

CONTRACTOR shall appear at meetings cited in Exhibit A to keep staff and City Council advised of the
progress on the project.
The CITY may unilaterally,or upon request from the CONTRACTOR,from time to time reduce or
increase the Scope of Services to be performed by the CONTRACTOR under this Agreement. Upon doing
so,the CITY and the CONTRACTOR agree to meet in good faith and confer for the purpose of negotiating a
corresponding reduction or increase in the compensation associated with said reduction in services.
3. PROJECT COORDINATION AND SUPERVISION-The Assistant City Manager,hereby is
designated as the Project Coordinator for the CITY and will monitor the progress and execution of this
Agi eeurent. The CONTRACTOR shall assign a single Project Director to provide supervision and have
overall responsibility for the progress and execution of this Agreement for the CONTRACTOR. hereby is
designated as the Project Director for the CONTRACTOR..
4. SOMPENSATION AND PAYMENT-The compensation for the CONTRACTOR shall be based
on monthly billing covering actual work performed. Billings shall include labor classifications,respective
rates,hours worked and also materials,if any. The total cost for all work described in Exhibit A shall not
exceed the schedule given in Exhibit A without prior written authorization from the Assistant City Manager.
Monthly invoices will be processed for payment and remitted within thirty(30)days from receipt of invoice,
provided that work is accomplished consistent with Exhibit A as determined by the CITY. The
CONTRACTOR shall maintain all books,documents,papers,employee time sheets,accounting records,and
other evidence pertaining to costs incurred and shall make such materials available at its office at all
reasonable times during the term of this Agreement and for three(3)years from the date of final payment
under this Agreement,for inspection by the CITY and for furnishing of copies to the CITY,if requested.

5. LENGTH OF AGREEMENT-Completion dates or time durations for specific portions for
specific portions of the Project are set forth in Exhibit A.
6. DISPOSITION OF DOCUMENTS-The Memoranda,Reports,Maps,Drawing(3s,Plans,
Specifications and other documents prepared by the CONTRACTOR for this Project shall become the
property of the CITY for use solely with respect to this Project,and shall be turned over to the CITY upon
completion of the Project,or any phase thereof,contemplated by this Agreement.
7. INDEPENDENT CONTRACTOR-Both parties hereto in the performance of this Agreement will
be acting in an independent capacity and not as agents,employees,partners or joint venturers with one
another. The CONTRACTOR is not an employee of the CITY and is not entitled to any of the rights,
benefits,or privileges of the CITY'S employees,including but not limited to medical,unemployment,or
workers compensation insurance.
This Agreement contemplates the professional services of the CONTRACTOR and the
CONTRACTOR's employees,and it is recognized by the parties that a substantial inducement to the CITY
for entering into this Agreement was,and is,the professional reputation and competence of the
CONTRACTOR and its employees. Neither this Agreement nor any interest herein may be assigned by the
CONTRACTOR without the prior written consent of the CITY. Nothing herein contained is intended to
prevent the CONTRACTOR from employing or hiring as many employees as the CONTRACTOR may
deem necessary,for the proper and efficient performance of this Agreement.
8. IONTROL-Neither the CITY nor its officers,agents or employees shall have any control over the
conduct of the CONTRACTOR or any of the CONTRACTOR's employees except as herein set forth,and
the CONTRACTOR expressly agrees not to represent that the CONTRACTOR or the CONTRACTOR's

agents, servants,or employees are in any manner agents,servants,or employees of the CITY, it being
understood that the CONTRACTOR,its agents,servants,and employees are as to the CITY wholly
independent contractors and that the CONTRACTOR's obligations to the CITY are solely such as are
prescribed by this Agreement.
9. COMPJ.IANCE WITH APPLICABLE LAW-The CONTRACTOR,in the performance of the
services to be provided herein,shall comply with all State and Federal statutes and regulations,and all
ordinances,rules and regulations of the City of Rosemead whether now in force or subsequently enacted. The
CONTRACTOR,and its subcontractors,shall obtain a current City of Rosemead business license prior to
performing any work within the City.
10. LICENSES.PERMITS.ETC -The CONTRACTOR,represents and covenants that it has all
licenses,permits,qualifications,and approvals of whatever nature that are legally required to practice its
profession. The CONTRACTOR represents and covenants that the CONTRACTOR shall, at its sole cost
and expense,keep in effect at all times during the tern of this Agreement, any license,permit,or approval
which is legally required for the CONTRACTOR to practice its profession.
11. STANDARD OF CARE-The CONTRACTOR,in performing any services under this Agreement,
shall perform in a manner consistent with that level of care and skill ordinarily exercised by members of the
profession currently practicing under similar conditions and in similar locations.
12. NON-DISCRIMINATION PROVISIONS-The CONTRACTOR will not discriminate against
any employee or applicant for employment because of age,race,color,ancestry,religion,sex, sexual
orientation,marital status,national origin,physical handicap,or medical condition. The CONTRACTOR

will take positive action to insure that applicants are employed without regard to their age,race,color,
ancestry,religion,sex,sexual orientation,marital status,national origin,physical handicap,or medical
condition. Such action shall include but not be limited to the following:employment,upgrading,demotion,
transfer,recruitment or recruitment advertising, layoff or termination,rates of pay or other forms of
compensation,and selection for training,including apprenticeship. The CONTRACTOR agrees to post in
conspicuous places available to employees and applicants for employment any notices provided by the CITY
setting forth the provisions of this non-discrimination clause.
13. fONFIPENTIAL INFORMATION - The CITY may from time to time communicate to the
CONTRACTOR certain confidential information to enable the CONTRACTOR to effectively perform the
services to be provided herein. The CONTRACTOR shall treat all such information as confidential and shall
not disclose any part thereof without the prior written consent of the CITY. The CONTRACTOR shall limit the
use and circulation of such information,even within its own organization,to the extent necessary to perform the
services to be provided herein. The foregoing obligation of this Section 13,however, shall not apply to any part
of the information that(i)has been disclosed in publicly available sources of information,(ii)is,through no fault
of the CONTRACTOR,hereafter disclosed in publicly available sources of information; (iii) is already in the
possession of the CONTRACTOR without any obligation of confidential; or (iv) has been or is hereafter
rightfully disclosed to the CONTRACTOR by a third party,but only to the extent that the use of disclosure
thereof has been or is rightfully authorized by that third party.
The CONTRACTOR shall not disclose any reports,recommendations,conclusions or other results of
the services or the existence of the subject matter of this Agreement without the prior written consent of the
CITY. In its performance hereunder,the CONTRACTOR shall comply with all legal obligations it may now or
hereafter have respecting the information or other property of any other person,firm,or corporation.

14. HOLD HARMLESS-The CONTRACTOR agrees to indemnify,defend,and hold harmless the
City of Rosemead,its officers,employees and volunteers,against and from any and all liability,loss,
damages to property,injuries to,or death of any person or persons,and all claims,demands,suits,actions,
proceedings,costs or attorneys'fees,of any kind or nature,including workers'compensation claims,of or by
anyone whomsoever,in any way resulting from or arising out of the CONTRACTOR's performance of this
Agreement
15. WORKERS' COMPENSATION-The CONTRACTOR shall comply with all of the provisions
of the Workers'Compensation Insurance and Safety Acts of the State of California,the applicable provisions
of Division 4 and 5 of the California Government Code and all amendments thereto; and all similar state or
Federal acts or laws applicable;and shall indemnify,defend and hold harmless the CITY and its officers,
employees and volunteers from and against all claims,demands,payments,suits,actions,proceedings and
judgments of every nature and description,including attomey's fees and costs presented,brought or recovered
against the CITY or its officers,employees,or volunteers,for or on account of any liability under any of said
acts which may be incurred by reason of any work to be performed by the CONTRACTOR under this
Agreement.
16. INSURANCE -The CONTRACTOR,at its sole cost and expense shall purchase and maintain
throughout the term of this agreement,the following insurance policies:
a. Automobile insurance covering all bodily injury and property damage incurred during the
performance of this Agreement,with a minimum coverage of$500,000 combined single
limit per accident. Such automobile insurance shall include non-owned vehicles.
b. Comprehensive general liability insurance,with minimum limits of$1,000,000
combined single limit per occurrence,covering all bodily injury and property

damage arising out of its operation under this Agi cement.
c. Workers'compensation insurance covering all of its employees and volunteers.
d. The aforesaid policies shall constitute primary insurance as to the CITY,its officers,
employees,and volunteers,so that any other policies held by the CITY shall not contribute
to any loss under said insurance. Said policies shall provide for thirty(30)days prior written
notice to the CITY of cancellation or material change.
e. Said policies,except for the professional liability and worker's compensation policies,shall
name the CITY and its officers,agents and employees as additional insurers.
f. This Agreement shall not take effect until certificate(s)or other sufficient proof that these
insurance provisions have been complied with,are filed with and approved by the CITY's
Risk Manager. If the CONTRACTOR does not keep all of such insurance policies in full
force and effect at all times during the terms of this Agreement,the CITY may elect to treat
the failure to maintain the requisite insurance as a breach of this Agreement and terminate
the Agreement as provided herein.
g. If required insurance coverage is provided on a'claims made rather than occurrence form,
the CONTRACTOR shall maintain such insurance coverage for three years after
expiration of the term (and any extensions) of this Agreement.
h. Any aggregate insurance limits must apply solely to this Agreement.
17. LEGAL FEES - If any party brings a suit or action against the other party arising from
any breach of any of the covenants or agreements or any inaccuracies in any of the representations
and warranties on the part of the other party arising out of this Agreement, then in that event, the

prevailing party in such action or dispute, whether by final judgment or out-of-court settlement,
shall be entitled to have and recover of and from the other party all costs and expenses of suit,
including actual attorneys'fees.
18. MEDIATION/ARBITRATION. If a dispute arises out of or relates to this Agreement,
or the breach thereof; the parties agree first to try, in good faith, to settle the dispute by mediation
in San Diego, California, in accordance with the Commercial Mediation Rules of the American
Arbitration Association the(AAA")before resorting to arbitration. The costs of mediation shall
be borne equally by the parties. Any controversy or claim arising out of, or relating to, this
Agreement, or breach thereof, which is not resolved by mediation shall be settled by arbitration in
San Diego, California, in accordance with the Commercial Arbitration Rules of the AAA then
existing. Any award rendered shall be final and conclusive upon the parties, and a judgment
thereon may be entered in any court having jurisdiction over the subject matter of the controversy.
The expenses of the arbitration shall be borne equally by the parties to the arbitration, provided
that each party shall pay for and bear the costs of its own experts, evidence and attorneys' fees,
except that the arbitrator may assess such expenses or any part thereof against a specified party as
part of the arbitration award.
19. TERMINATION - This Agreement may be terminated with or without cause by the
CITY. Termination without cause shall be effective only upon 60-day written notice to the
CONTRACTOR. During said 60-day period the CONTRACTOR shall perform all services in
accordance with this Agreement.

This Agreement may also be terminated immediately by the City for cause in the event of a
material breach of this Agreement, misrepresentation by the CONTRACTOR in connection with
the formation of this Agreement or the performance of services, or the failure to perform services
as directed by the CITY.
Termination with or without cause shall be effected by delivery of written Notice of
Termination to the CONTRACTOR as provided for herein.
In the event of termination, all finished or unfinished Memoranda Reports, Maps,
Drawings, Plans, Specifications and other documents prepared by the CONTRACTOR shall
become the property of and be delivered to the CITY, and the CONTRACTOR shall be entitled
to receive just and equitable compensation for any work satisfactorily completed on such
documents and other materials up to the effective date of the Notice of Termination, not to
exceed the amounts payable hereunder, and less any damages caused the CITY by the
CONTRACTOR's breach, if any.
20. NOTICES - All notices or other communications required or permitted hereunder shall be
in writing, and shall be personally delivered; or sent by overnight mail (Federal Express or the
like); or sent by registered or certified mail, postage prepaid, return receipt requested; or sent by
ordinary mail, postage prepaid; or telegraphed or cabled; or delivered or sent by telex, telecopy,
facsimile or fax; and shall be deemed received upon the earlier of(i) if personally delivered, the
date of delivery to the address of the person to receive such notice, (ii) if sent by overnight mail,
the business day following its deposit in such overnight mail facility, (iii) if mailed by registered,
certified or ordinary mail, five(5) days, ten (10) days if the address is outside the State of

California after the date of deposit in a post office, mailbox, mail chute, or other like facility
regularly maintained by the United States Postal Service, (iv) if given by telegraph or cable, when
delivered to the telegraph company with charges prepaid, or(v) if given by telex, telecopy,
facsimile or fax, when sent. Any notice, request, demand, director or other communication
delivered or sent as specified above shall be directed to the following person: Donald J. Wagner,

To CONTRACTOR:
Notice of change of address shall be given by written notice in the manner specified in this
Section. Rejection or other refusal to accept or the inability to deliver because of changed
address of which no notice was given shall be deemed to constitute receipt of the notice, demand,
request or communication sent. Any notice, request, demand, direction or other communication
sent by cable, telex, telecopy, facsimile or fax must be confirmed within forty-eight (48) hours by
letter mailed or delivered as specified in this Section.
21. CONFLICT OF INTEREST AND POLITICAL REFORM ACT
OBLIGATIONS - During the term of this Agreement, the CONTRACTOR shall not perform
services of any kind for any person or entity whose interests conflict in any way with those of the City

of Rosemead. The CONTRACTOR shall at all times comply with the terms of the Political
Reform Act and the Rosemead City Conflict of Interest Code. The CONTRACTOR shall
immediately disqualify itself and shall not use its official position to influence in any way any
matter coming before the City in which the CONTRACTOR has a financial interest as defined in
Government Code Section 87103. The CONTRACTOR represents that it has no knowledge of
any financial interests which would require it to disqualify itself from any matter on which it might
perform services for the CITY.
The CONTRACTOR shall comply with all of the reporting requirements of the Political
Reform Act and Rosemead City regulations. Specifically, the CONTRACTOR shall file
Statements of Economic Interest with the City Clerk of the City of Rosemead in a timely manner
on forms which the CONTRACTOR shall obtain from the City Clerk, if required by the
Rosemead City Conflict of Interest Code as determined by the City Attorney of the City of
Rosemead.
22. MISCELLANEOUS PROVISIONS.
a. Co putation of Time Periods -If any date or time period provided for in this
Agreement is or ends on a Saturday, Sunday or federal, state or legal
holiday, then such date shall automatically be extended until 5:00 p.m.
Pacific Time of the next day which is not a Saturday, Sunday or federal
state or legal holiday.

b. Coentemarts- This Agreement each of which shall be deemed an original,
but all of which, together, shall constitute but one and the same instrument.
c. captions- Any captions to, or headings of, the sections or subsections of this
Agreement are solely for the convenience of the parties hereto, are not a part of this
Agreement, and shall not be used for the interpretation or determination of the validity of
this Agreement or any provision hereof
d. No Obligations to Third Parties- Except as otherwise expressly provided herein, the
execution and delivery of this Agreement shall not be deemed to confer any rights upon,
or obligate any of the parties hereto, to any person or entity other than the parties hereto.
e. Exhibits and Schedules - The Exhibits and Schedules attached hereto are hereby
incorporated herein by this reference for all purposes.
f. Amendment to this Agreement- The terms of this Agreement may not be modified
or amended except by an instrument in writing executed by each of the parties hereto.
g. Waiver- The waiver or failure to enforce any provision of this Agreement shall not
operate as a waiver of any future breach of any such provision or any other provision
hereof.

h. Applicable Law - This Agreement shall be governed by and construed in accordance with
the laws of the State of California.
Entire Agreement- This agreement supersedes any prior agreements,
negotiations and communications, oral and written, and contains the entire
agreement between the parties as to the subject matter hereof No subsequent
agreement representation, or promise made by either party hereto, or by or to
an employee, officer, agent or representative of any party hereto shall be of any
effect unless it is in writing and executed by the party to be bound thereby.
j. Successors and Assigns - This Agreement shall be binding upon and shall inure
to the benefit of the successors and assigns of the parties hereto.
k. construction- The parties acknowledge and agree that (i) each party is of equal
bargaining strength, (ii) each party has actively participated in the drafting,
preparation and negotiation of this Agreement, (iii) each such party has
consulted with or has had the opportunity to consult with its own, independent
counsel and such other professional advisors as such party has deemed
appropriate, relative to any and all matters contemplated under this Agreement,
(iv) each party and such party's counsel and advisors have reviewed this
Agreement, (v) each party has agreed to enter into this Agreement following
such review and the rendering of such advice, and (vi) any rule or construction
to the effect that ambiguities are to be resolved against the drafting party shall

not apply in the interpretation of this Agreement, or any portions hereof, or any
amendments hereto.

Department from the wages of employees of the contractor and his subcontractors pursuant to
Section 13020 of the Unemployment Insurance Code of the State of California,with respect to such
work and labor,the Surety will pay for the same,in an amount not exceeding the sum specified in
this bond,and also,in case suit is brought upon this bond,a reasonable attorney's fees,to be fixed by
the Court.
