The following bids were received for the subject project on Wednesday,August 11, 1999:
1. Urbantec Engineers, Inc. $ 96,437.50
2. Leslie's (a subsidiary of Green Equity Investors) $ 98,696.00
3. South Coast Pool Plastering, Inc. $ 154,000.00
Attached are copies of the three low bids, a bid analysis, and Dun & Bradstreet reports for
the low bidders. The lowest bid was submitted by Urbantec Engineers, Inc., a responsible
contractor, in the amount of$96,437.50, which is approximately 8.15 percent below the
Engineers Estimate of$105,000.00. The average bid was $116,346.15.
RECOMMENDATION
1. Accept all bids and award the project to Urbantec Engineers, Inc., in the amount of
$95,437.50.
2. Authorize the Chairman to sign the contract on behalf of the Agency.

In accordance with AGENCY's NOTICE INVITING SEALED BIDS, the undersigned
BIDDER hereby proposes to furnish all materials, equipment, tools, labor, and incidentals
required for the above-stated project as set forth in the Plans, Specifications, and contract
documents therefore, and to perform all work in the manner and time prescribed therein.
BIDDER declares that this proposal is based upon careful examination of the work site,
Plans, Specifications, INSTRUCTIONS TO BIDDERS, and all other contract documents.
If this proposal is accepted for award, BIDDER agrees to enter into a contract with
AGENCY at the unit and/or lump-sum prices set forth in the following BID SCHEDULE.
BIDDER understands that failure to enter into a contract in the manner and time prescribed
will result in forfeiture to AGENCY of the proposal guarantee accompanying this proposal.
BIDDER understands that a bid is required for the entire work,that the estimated quantities
set forth in the BID SCHEDULE are solely for the purpose of comparing bids, and that final
compensation under the contract will be based upon the actual quantities of work
satisfactorily completed. THE AGENCY RESERVES THE RIGHT TO INCREASE OR
DECREASE THE AMOUNT OF ANY QUANTITY SHOWN AND TO DELETE ANY ITEM
FROM THE CONTRACT. It is agreed that the unit and/or lump-sum prices bid include all
appurtenant expenses, taxes, royalties, and fees. In the case of discrepancies in the
amounts bid, unit prices shall govern over extended amounts, and words shall govern over
figures.
If awarded the Contract, the undersigned further agrees that in the event of the BIDDER's
default in executing the required contract and filing the necessary bonds and insurance
certificates within 10-working days after the date of the AGENCY's notice of award of
contract to the BIDDER, the proceeds of the security accompanying this bid shall become
the property of the AGENCY and this bid and the acceptance hereof may, at the
AGENCY'S option, be considered null and void.

PUBLIC NOTICE IS HEREBY GIVEN that the Rosemead Redevelopment Agency, as
AGENCY, invites sealed bids for the above-stated project and will receive such bids in the
]
offices of the Agency Secretary,8838 East Valley Boulevard, Rosemead, California 91770,
j up to the hour of 11:00 a.m. on Wednesday, August 11, 1999, at which time they will be
publicly opened.
Copies of the Plans, Specifications, and contract documents are available from the
Rosemead Redevelopment Agency, 8838 East Valley Boulevard, Rosemead, California,
upon payment of a $10.00 nonrefundable fee, if picked up, or payment of a $17.00
nonrefundable fee, if mailed.
Any contract entered into pursuant to this notice will incorporate the provisions of the State
Labor Code. Compliance with the prevailing rates of wages and apprenticeship
employment standards established by the State Director of Industrial Relations will be
required. Copies of prevailing wage rates are on file and are available for inspection in the
office of the Agency Secretary, 8838 East Valley Boulevard, Rosemead, California.
IAffirmative action to ensure against discrimination in employment practices on the basis
of race, color, national origin, ancestry, sex, or religion will also be required.
The AGENCY will retain 10 percent from all progress amounts due as specified in Section
9-3.2 of the Special Provisions. In accordance with Section 4590 of Chapter 13 of Division
5 of Title 1 of the Government Code of the State of California, the Contractor may
substitute with an escrow holder securities of equal value to the retained amount and the
3 Contractor shall be beneficial owner of any securities deposited for monies and shall
1 receive any interest thereon.
1 The AGENCY hereby affirmatively ensures that minority business enterprises will be
afforded full opportunity to submit bids in response to this notice and will not be
discriminated against on the basis of race, color, national origin, ancestry, sex, or religion
in any consideration leading to the award of contract.
In entering into a public works contract, or a subcontract, to supply goods, services, or
materials pursuant to a public works contract, the Contractor, or subcontractor, offers and

agrees to assign to the awarding body all rights, title and interest in, and to, all causes of
action it may have under Section 4 of the Clayton Act (15 U.S.C. Section 15) or under the
Cartwright Act (Chapter 2 [commencing with Section 16700] of Part 2 of Division 7 of the
i� Business and Professions Code), arising from purchases of goods, services, or materials
` pursuant to the public works contract or the subcontract. This assignment shall be made
1i and become effective at the time the awarding body tenders final payment to the
Contractor, without further acknowledgment by the parties.
' Bids must be prepared on the approved proposal forms in conformance with the
INSTRUCTIONS TO BIDDERS and submitted in a sealed envelope plainly marked on the
outside.
The bid must be accompanied by certified check, cashier's check or bidder's bond made
payable to the AGENCY or cash deposit for an amount not less than 10 percent of the total
amount bid.
All bidders shall be licensed in accordance with provisions of the Business and Professions
Code and shall possess a State Contractor's license, Class C-53, at the time of bid
submittal. The successful Contractor and his subcontractors will be required to possess
1 business licenses from the City.
The AGENCY reserves the right to reject any or all bids, to waive any irregularity, and to
take all bids under advisement for a period of 45 days.

SENIOR NOTES: On Jun 11 1997, the Company issued $90 million

Jul 15 commencing on Jan 15 1998. Notes are generally unsecured.
REDEEMABLE PREFERRED STOCK: In connection with the

FISCAL 1998 OPERATING RESULTS
For the twelve months ended Oct 3 1998 (fiscal 1998), sales
increased 16. 5% to $252. 9 million from $217. 1 million in the same
twelve month period of the prior year. The increase is primarily
attributable to comparable store sales growth of 10. 3% and 38 new
store additions in 1998.
Gross profit in fiscal 1998 increased to 39. 3% of sales, from
37. 7% in 1997. The increase reflects higher average retail pricing,
some lower product acquisition costs, lower inventory shrinkage
expense and a decrease in store rent expense.
Net income for 1998 decreased to $2. 8 million from $4. 3 million
in 1997 due to higher interest expense in 1998 resulting from the
recapitalization transaction.

Sales have increased 18. 0%, 14. 7%, 18. 0%, 14. 9% and 16. 5% i n
fiscal 1994, 1995, 1996, 1997, and 1998, respectively. The i ncreases
have been the result of addi tional stores and comparable store sales
increases. Comparable store sales have increased 12. 9%, 6. 0%, 9. 9%,
10. 1% and 10. 3% in fiscal 1994, 1995, 1996, 1997, and 1998
respectively. The number of Company stores has increased from 180 at
Dec 31 1994 to 316 at Oct 3 1998.

In fiscal 1998, net cash provided by operating activities was
$7. 7 million compared to $17. 1 million in the same twelve months of
the prior year. Increased working capi tal requi rements, in particular
inventory, produced the decreased cash flow from operations in 1998.
Inventories increased $7. 2 million year-over-year, due primarily to
the additional stores opened in 1998 and a large earl y-buy-out of
product (for sale in fiscal 199) made prior to year end.
The Company is highly leveraged and the Company had a deficit
equity position indicating significant creditor exposure. The
decrease in equity, despite a profit, is primarily due to an increase
in deducted intangibles as a result of an an acqui si ti on.

result of the mergers, each share of outstanding common stock was
canceled and converted automatically into the right to receive $14. 50
in cash, payable to the holder thereof, without interest, other than
359, 505 shares (the continuing stockholders) held primarily by members
of management (collectively, the Hancock Group) the of the Company.
The continuing stockholders received $14. 50 per share for their
remaining outstanding 946, 182 shares and the difference between $14. 50
and the option exercise prices for their options covering 259, 938
shares.
SOURCE OF FUNDS: In order to finance the repurchase of common
shares and options, the Company issued $90 million in senior notes and
sold shares of its common stock for proceeds- of $15. 6 million. Also
in connection with the recapitalization, the Company issued 28, 000
shares of its Series A redeemable preferred stock for a total
consideration of $28 million.
OWNERSHIP: Shares of the Company' s common stock are privately
held. As of Oct 3 1998, there were 11 holders of the Company s common
