TRIPEPI, CITY MANA�R--7:451-.., - DATE: SEPTEMBER 2, 1997 RE: CONSIDERATION OF PRIVATE COMPANY PROVIDING BUS SHELTERS AT CITY'S BUS STOP LOCATIONS As the Council is aware, staff is currently in the process of preparing the plans for the Valley Boulevard Improvements Project. One of the issues to be addressed is the replacement of the existing bus shelters along the corridor. The City owns the existing shelters throughout the City with maintenance provided by a private contractor. The current budget for maintenance of the bus shelters for Fiscal Year 1997-98 is $26,300.00. If the City Council desires to continue with this method of operation, replacement of the bus shelters can be included in the project plans and specifications. The other option would be to have the bus shelters owned and operated by a private advertising company. Attached for the City Councils consideration is a sample agreement and a company brochure for a company that provides bus shelters for other jurisdictions in the area. • • • COUNCIL AGENDA SEP 091997 ITEM No. e_ • a September 2, 1997 Page 2 The revenue to the City under such an agreement would be based on the gross advertising revenue received by the private company. It is estimated the savings to the City would be between $30,000 to $35,000 annually. RECOMMENDATION It is recommended that the City Council approve in concept to provide bus shelters through a private contractor and direct staff to negotiate an agreement for consideration by the City Council. BUSTOP SHELTERS OF CALIFORNIA, a California corporation, ("CONTRACTOR"). WITNESSETH: A. CITY would like to provide bus shelters ("shelters") at designated bus stop sites throughout the CITY; and B. CITY desires to provide such shelters without incurring costs and expenses; and C. CONTRACTOR represents that it is willing and qualified to provide such shelters; WHEREFORE, in consideration of the covenants and conditions set forth below, the parties agree as follows; I. Right to Construct CITY hereby grants to CONTRACTOR, on the terms hereinafter described, a license to construct, erect, install, repair, maintain and insure shelters at designated bus stop locations throughout CITY property, attached as Exhibit "A". 2. Fees a. In consideration of the rights granted hereby, CONTRACTOR agrees to pay to CITY fifteen percent (15%) of the gross advertising revenues received after agency/sales commission by CONTRACTOR for the rental of advertising space in and on the shelters. b. All payments from CONTRACTOR to CITY shall be paid quarterly in arrears and supported by a Statement of Account showing all revenues received. c. CONTRACTOR shall allow inspection of its books and records by CITY officials as authorized by the CITY Manager at CONTRACTOR's office during reasonable business hours to determine revenues due to CITY. d. Inspection of Records. Quarterly reports (unaudited) concerning gross advertising receipts derived from shelters with CITY shall be provided to the CITY Manager of CITY within thirty (30) days after the conclusion of each calendar quarter. 3. CONTRACTOR'S Services a. The shelters shall be designed and constructed to conform to CONTR4CTOR's drawing, on file with CITY. Each shelter shall have displayed in a conspicuous place the name of CONTRACTOR. Any design changes on the structure shall be submitted for CITY'S written approval thirty(30) day prior to installation, and no changes will be made without prior CITY approval. b. CONTRACTOR shall obtain one blanket permit from CITY for the installation of any new shelters, and the permit shall be valid only for said locations specified on the permit. c. CONTRACTOR shall pay all fees, costs and permit charges regularly assessed by CITY. The shelters shall be constructed in conformity with the relevant requirement of the Uniform Building Code. No advertisement on any shelter shall be displayed except in the area designated for advertising. No advertisement on any shelter shall be displayed which would be offensive or objectionable to the public, or which advertises competing services or products within a one- block radius of real property primarily devoted to providing those services or products. Should CITY, in its sole discretion, determine any advertising on any shelter to be offensive or objectionable, CONTRACTOR, shall remove the advertising within twenty-four (24) hours. No display shall be allowed which may interfere with, mislead or distract traffic, or conflict with any traffic control device. CONTRACTOR will provide the availability for Public Service Announcements to be displayed on the advertising shelters of no less than five percent (5%) of the total space at no cost to the CITY. 2 5. Shelter Removal a. CONTRACTOR may remove any shelter upon thirty (30) days notice to CITY, if federal, state, municipal or other authorities establish regulations or taxes which restrict location, construction, maintenance or operation and substantially diminish the value of the shelter for advertising purposes, or in the event of chronic vandalism. Chronic vandalism is damage inflicted to a shelter during any six (6) month period which requires cumulative expenditures for replacement and repair that exceed the original cost of construction and installation. b. If this Agreement is breached or terminated, CONTRACTOR shall immediately remove all shelters. Within thirty (30) days after notice to remove, CITY shall have the right to remove the shelters and CONTRACTOR shall pay all costs of removal and site restoration. C. CITY may require the relocation of any shelter at any time if the physical surrounding near the shelter or the use of the shelter threaten the public health or safety. d. When any shelter is removed for any reason, it shall be CONTRACTOR'S sole expense. All material shall be removed from the site, including all wires. The site shall be at restored to the condition existing prior to installation of the shelter, including complete restoration of sidewalk upon which the shelter was located. 6. Term This agreement shall commence at 12:01 on the day following the execution of the agreement, and continue for ten (10) years unless previously terminated as hereafter provided. This agreement shall be extended for two additional five year terms if all of the conditions of this agreement have been satisfactorily met during the prior term. 7. Termination This agreement may be terminated by CITY or CONTRACTOR by g written notice not less than thirty (30) days prior to termination. Regardless of which partyart y terminates, removal of the shelters shall be as provided in paragraph 5(d). 8. Inde oende nt Contactor CITY CONTRACTOR is an independent contractor and not an employee of the MI personnel shall be employees of CONTRACTOR and not employees of CITY and shall be subject to hours and conditions of employment set by CONTRACTOR. CONTRACTOR shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 3 9. Indemnification Hold Harmless and Insurance CONTRACTOR indemnifies, defends and holds harmless the CITY and its officers and employees against all liabilities or loss (including reasonable attorney fees, related costs and expenses) because of death, personal injury or property damage arising or resulting from the fault or negligence of CONTRACTOR in its operations under this agreement. CONTRACTOR shall obtain policies of general liability insurance in form acceptable to the City Attorney, with a minimum combined single limit of two million dollars ($2000,000.00). The policies shall name the CITY as additional insured. CONTRACTOR shall maintain the policies in full force and effect during the period of this Agreement. 10. Representatives and Notices The City Manager shall represent the CITY for this Agreement. Scott Kraft, President/C.E.O., shall be the representative of CONTRACTOR for this Agreement.
