TRIPEPI, CITY MANAGER _ DATE: MAY 13, 1997 RE: ADOPTION OF REVISED COMMERCIAL REHABILITATION GUIDELINES The current guidelines for the CDBG-funded Commercial Rehabilitation Program have been in effect since the program's inception. Since that time, staff has received feedback from several sources regarding the need to make changes, clarify and update the guidelines. In addition,the Department of Housing and Urban Development(HUD)has clarified and updated its regulations regarding economic development, of which commercial rehabilitation is a part. In response, staff has updated the document and proposes several changes to the guidelines. The proposed guidelines are attached. The major changes to the proposed guidelines are as follows: Organizational Changes Several changes have been designed to make the document easier to read and use. Business Licenses 2 • I. INTRODUCTION The City of Rosemead is committed to restoring the vitality of its Downtown Area as a viable commercial district. The City of Rosemead has initiated a Commercial Rehabilitation Program to assist merchants and commercial property owners with exterior rehabilitation of their property. This financial assistance is being offered in the form of rebates based on a cost percentage of the improvements. In addition, the City understands that some projects need more extensive rehabilitation and economic development activities. To that end,the City also has a loan program for those commercial properties which could benefit, and which would benefit the City, with such activities. This document contains the guidelines and procedures for operation of this financial assistance program. It addresses such items as personal and property eligibility requirements, eligible activities, and the teiuis and conditions for rebates and loans. In preparing these guidelines and procedures, the City has foimulated a program which has a balance of being attractive to business, while correcting existing deficiencies and maximizing use of program funds. R. COMMERCIAL REBATE PROGRAM GENERAL PROVISIONS A. Applicant Eligibility Requirements Eligibility for assistance under the Commercial Rehabilitation Program will be based on the following applicant eligibility requirements: 1. In the public interest, employees, or officials of the City of Rosemead who exercise any functions or responsibilities in connection with the administration of the Commercial Rehabilitation Program, including consultants, shall not be eligible for assistance under the program. However, City officials or employees otherwise eligible may be granted assistance in accordance with the rules,procedures, and regulations of the program. 3 2. The leaseholder of the commercial property for which rehabilitation assistance is requested must obtain written permission from the owner(s) of the structure prior to application for assistance under this program. 3. The applicant must have a current City business license (if applicable). B. Property Eligibility Requirements In order to be eligible for assistance under the Commercial Rebate Program,properties must comply with the following property eligibility requirements: 1. In conformance with the City's adopted Improvement Area,the property for which assistance is requested must be a commercial property located on either Garvey Avenue, San Gabriel Boulevard,Valley Boulevard or Rosemead Boulevard(as indicated on attached Target Area Map). • 2. The property for which assistance is requested must need exterior rehabilitation to conform to the property rehabilitation standards for this program. 3. The applicant must permit inspections of the property by City of Rosemead personnel prior to completing improvements. 4. The property for which assistance is requested must be used solely for commercial purposes. No residential or industrial uses are eligible on any part of the property. 5. The property cannot be rented or occupied the following uses and owner/lessee must agree in writing to these restrictions: a. Automobile storage garage b. Bars and cocktail lounges, except in conjunction with a bona fide dinnerhouse restaurant c. Club or lodge d. Coin-operated, self service dry-cleaning machines e. Frozen food lockers f. Mortuaries g. Sanitariums h. Baths, Turkish and the like i. Churches j. Coin-operated and automatic car washes k. Public garages 1. Open air theaters m. Refrigerated lockers, except in conjunction with other uses allowed by this Agreement 4 n. Storage garage o. Upholstery shop p. Used furniture thrift shop q. Utility trailer and truck rental yard r. Any establishment selling, renting or exhibiting adult materials defined in Section 19.63.020 of the Rosemead Municipal Code which accounts for more than 10% of the business of the establishment or which sells drug paraphernalia s. Any flea market, amusement arcade,pool, or billiard hall t. Any operation primarily used as a warehouse operation and any assembling, manufacturing, distilling, refining, smelting, agricultural or mining operation u. Any "second hand" store, army,navy, or government "surplus" store v. Video arcades w. Pawn shops x. Check cashing service y. Laundromats z. Bail bonds aa. Liquor stores bb. Massage parlors C. Eligible Activities A rehabilitation rebate provided under this program may be used to cover the cost of the following: 1. Rehabilitation activities necessary to make the qualified structure conform to the property rehabilitation standards for this program. 2. Facade improvements, including sandblasting; repair or replacement of damaged or deteriorated facade components;new stucco,wood or other basic exterior wall materials; painting; and the installation of awnings or shutters as appropriate. 3. Signs, both the removal of existing signs and the installation of new sign 4. Building permits,title reports, credit reports, lien certificates,recording, document, appraisal and other related fees which are required to carry out the proposed exterior rehabilitation work. 5 D. Ineligible Activities A rehabilitation rebate provided under this program may not be used to cover the cost of the following: 1. Inventory. 2. Fixtures or furnishings that are related to the merchandising operation of a business, e.g., cash registers, showcases, office furniture, booths, etc. 3. Prohibited land uses. 4. Working capital. 5. Refinancing or repayment of existing debt. 6. New roofmg. 7. Repair, replacement or installation of basic equipment. 8. Repair, replacement, or installation of security and safety devices, including exterior lighting. 9. Installation of energy conservation devices. 10. Any work to parking lots, fences, or other work not related to the facade. 11. Any work which is begun before the City issues a Notice to Proceed. However, some of these items may be eligible under the Commercial Loan Program. E. Property Rehabilitation Standards The property rehabilitation standards for this program are: 1. The City of Rosemead building, electrical, mechanical, fire,plumbing, and other Codes adopted by the City Council. 2. The City of Rosemead Zoning Ordinance, General Plan and Redevelopment Plan and the City's Consolidated Plan. 6 F. Inspection Requirements 1. An initial exterior property inspection will be conducted for any property for which rehabilitation assistance is requested under this program. The purpose of this initial inspection is to determine the amount of rehabilitation needed and/or to determine the eligibility of proposed improvements desired by the applicant. This inspection will be conducted by City staff in such manner that each deficiency/violation will be recorded with respect to the property rehabilitation standards for this program. Any Code deficiencies or violations which are hazardous to health or safety must be corrected first before other improvements are made when fmancial assistance is requested under this program. 2. All rehabilitation work financed under this program will be inspected by the Rosemead Building and Safety Department. To accomplish this,the staff shall make: o Progress inspections necessary to assure that rehabilitation work is being performed in accordance with the construction contract and the City's building law. o a final inspection to determine that the rehabilitation work has been completed in accordance with the construction contract/work write-up and building codes. G. Design Review Committee 1. All plans for facade or general property improvements (i.e. exterior work only) shall be approved by a Design Review Committee before a rebate is approved for rehabilitation work under this program. In some cases, the plans may require submission to the Planning Commission. Depending on the nature of improvements, construction drawings may be required for submission to the Building Department. 2. The Design Review Committee shall consist of the Planning Director;City Manager's office, Grants and/or Rehabilitation Coordinator, Supervising Building Inspector, or designated representatives, City Engineer (if applicable). 3. The Committee is responsible for reviewing proposed facade or general property improvement plans for consistency with the Rosemead Commercial Design Standards,the Rosemead Zoning Ordinance and Building laws,Public Works requirements. 7 H. Owner Participation Agreements The City may require an applicant to enter into an Owner Participation Agreement(OPA). the decision to require an OPA depends on the extent of the improvements and the need for longer term maintenance obligations or use restrictions. All applicants may be required to execute covenants or other recordable instruments to formalize the program obligations extending beyond project completion. I. Commercial Rehabilitation Rebate Program Cash rebates for exterior improvement are based on 50 percent of approved costs. The minimum rebate available is $2,500.00 and the maximum rebate (excluding Rehabilitation Incentives) is $15,000. The owner or lessee must advance all costs with subsequent reimbursement by the City. J. Rehabilitation Incentive In order to encourage the rehabilitation of commercial properties within the established target area, an incentive shall be provided when either 1) an individual owner/tenant simultaneously rehabilitates more than one property, or 2) a group/consortium of individual owners/tenants simultaneously rehabilitate at least three properties in one block. In these cases, the maximum rebated offered is 75 percent of approved costs, or a total of$25,000 per building. K. Contracting for Rehabilitation Work 1. Rebates can only be used to pay for the cost of materials and services necessary to carry out the rehabilitation work for which the rebate is approved. 2. The applicant must obtain written cost estimate(s) from a State licensed contractor(s) or subcontractor(s). The contractor may be required to have a City Business License. Estimates must be clear, specific and complete. 3. Estimates will be examined by Community Development staff for completeness, cost reasonableness and whether selected contractor meets all applicable requirements. 4. All work financed with a rebate under this program shall be performed by a qualified, licensed contractor. 5. All work fmanced through this program will undertaken only after execution of a written contract between owner and contractor. 6. General specifications will be checked and verified by the City of Rosemead Department of Building and Safety; the review of the Planning Department may also be necessary. 8 7. The contractor shall maintain, for the duration of the work,the following insurance: o Workers' Compensation Insurance,providing coverage as required by the California State Workers' Compensation Law. o Liability for bodily injury coverage in the minimum/maximum amount of $100,000/$300,000. o Property damage coverage in the minimum amount of$50,000. Certificates, or other evidence of insurance satisfactory to the City, shall be filed with the City of Rosemead, Community Development Division. The contractor shall hold harmless and indemnify each property owner and the City and their respective officers, agents, and employees from all claims, demands, actions, liability, or loss which may arise from, or be incurred as a result of, injury or damage to the persons or property in the performance of said work, including but not limited to, damage to the premises. 8. Before commencing work,the contractor shall submit evidence of the coverage required to the City of Rosemead. 9. Contractors are required to attend a pre-construction conference prior to beginning work. 10. Projects done under this program are subject to the requirements of Davis-Bacon and all contractors shall agree to meet the Davis-Bacon requirements, including posting on job site, allowing Community Development staff access to employees and subcontractors for purpose of interviewing the employees, using the applicable Davis-Bacon wage rates and maintaining weekly certified payrolls. Appeals Any dispute regarding these procedures, including determinations with respect to applicant eligibility, amount of rebate, and/or allowable repairs, shall be adjudicated by the City Manager' office after receipt of a written appeal from the party seeking relief. The decision shall be fmal and conclusive. IF PLANS ARE REQUIRED If structural changes are being made, submit preliminary plans for review, including a plot plan, interior plan, elevations, and detailed description of work as appropriate and submit to Building Department and Design Review Committee for plan check and Planning Department approval. 9 FINAL APPROVAL OF PROPOSED REHABILITATION WORK Following plan check approval, owner/lessee submits fmal plan of proposed rehabilitation work, including any changes or revisions. BIDDING PROCEDURES Applicant obtains written cost estimate of approved project from licensed contractors. Applicant must obtain at least three bids. A copy of bids, including the bid chosen by the applicant, is submitted to the Community Development staff for approval. CITY APPROVAL City approves the contract,verifies contractor eligibility, and determines allowable amount of rebate. AWARD OF CONTRACT Property owner and/or lessee secures matching funds, awards contract to contractor, signs agreement and submits copy to City. PRECONSTRUCTION MEETING/NOTICE TO PROCEED Community Development staff,property owner and/or lessee and contractor meet to discuss scope of work, issuance of Building permits, fmal payment details, and other requirements, including Davis-Bacon payroll requirements. After the Preconstruction Meeting and all insurances, etc. are on file, a Notice to Proceed is issued and construction can begin. COMPLETION After completion of rehabilitation work, owner/lessee submits proof of contractor's invoices and payments made to contractor to the City. Notice of Completion is filed and all Labor and Lien Releases are supplied to City. CHECK REQUEST After review of receipts, etc, and fmal inspection by Building, Planning and Community Development, (including the approval of the filing of the Notice of Completion), a check request is issued for the amount of the approved rebate. 10 TIME FRAMES Rehabilitation projects under this program will have reasonable time limit requirements for completing cost estimates, contractor selection, and project completion. Time limits are as follows: 1. Estimates must be obtained and a contractor selected within 30 days from date the final approval is granted for proposed projects. 2. The project must be completed within 90 days following issuance of a Notice to Proceed. (Time frames may be adjusted under the loan program, based on the OPA between Participant and City.) If time limits are exceeded,participation under the program may be terminated and it may be necessary to reapply. An extension of time limits may be granted if extenuating circumstances delay normal progress of the rehabilitation project. III. COMMERCIAL LOAN PROGRAM GENERAL PROVISIONS Except as noted below, all other requirements of the Rebate Program apply also to the Loan program. C. Eligible Activities The same activities are eligible under the Loan program as under the Rebate program. In addition, the following activities may be eligible: 1. New roofing 2. Repair, replacement or installation of basic equipment if there is no such equipment in the structure or if existing equipment is unsafe or unsanitary because of its basic physical condition. The term "basic equipment' includes such items as heating and air conditioning equipment,hot water heaters, and electrical,plumbing and sanitary fixtures, as well as the space necessary to accommodate such equipment. 3. Repair, replacement or installation of security and safety devices/equipments, including exterior lighting. 4. Work to parking lots, fences, or other work as part of the overall project. 11 5. Other economic development activities which may be negotiated between the applicant and the City, subject to approval by the City Council. D. Ineligible Activities A rehabilitation loan provided under this program may not be used to cover the cost of the following: 1. Inventory. 2. Prohibited land uses. 3. Working capital. 4. Any project which does not meet a National Objective or is not an eligible activity as defined by the regulations governing the Community Development Block Grant Program (CDBG). 5. Any work which is begun before the City issues a Notice to Proceed. H. Owner Participation Agreements,Note and Deed of Trust The City will require an Owner Participation Agreement(OPA) in the Loan program. In addition, all participants will be required to execute a Note and Deed of Trust to secure the Note. I. Commercial Loan Program 1. The maximum amount of a loan under this program shall be $50,000. If the project requires additional monies and the City determines that such a loan would be in the best interest of the City, the City shall request a waiver of the $50,000 limitation from the City Council. 2. The applicant shall maintain fire and extended coverage insurance on the property to be rehabilitated for the term of the loan and shall provide proof of coverage to the City prior to Loan approval. 3. The applicant shall not refinance, sell or transfer title to the rehabilitated property without repaying the entire rehabilitation loan amount due. 4. As stated above, all loans issued under this program shall be secured via a Deed of Trust or other lien on the subject property. 5. The maximum term of the loan issued under this program shall be 10 years; subject, however, to the maximum term of lease of the property where the applicant is a tenant. In that 12 case, the maximum term for a rehabilitation loan issued under the program shall not exceed 6 months prior to the expiration of the lease on the subject property. 6. The interest rate for loans under this program shall be as follows: o Three (3)percent interest for loans of five (5)years or less; o Six (6)percent interest for loans from six(6)to ten (10)years. 7. At the City's discretion, it may either administer the loans directly or contract out to a bank to service the loan. If the loans are made by a bank servicing agreement,the City shall pay the difference between the interest rate charged for a loan under this program and the existing market rate of interest charged for the same loan. 8. All applicants must submit to either the City's or bank's underwriting criteria. 13 IV. STEP BY STEP PROCEDURES 1. Applicant contacts program 2. Applicant completes application and returns it to office 3. Application is review to see if qualified project; applicant is placed on waiting list 4. When applicant comes to top of list, applicant receives full package 5. Applicant completes package and returns it with required attachments 6. Application is review, eligibility is determined, including credit worthiness in the case of a loan, and order lot book report 7. Staff sets up appointment for site inspection and work write-up (if applicable); otherwise, bids are received off architect's plans and/or write-up 8. Staff checks/documents existing code violations, otherwise eligible items and requested improvements on work write-up 9. Staff explains to applicant which improvements are eligible and which are not. Prioritizes work to be accomplished 10. Staff completes fmal work write-up (if applicable) 11. Staff completes environmental review and publishes Notice. Completes Request for Release of Funds and send package to HUD at close of waiting period 12. Owner gets bids for work. Bids are ranked and staff checks to ensure contractors are licensed and qualified. Owner selects contractor 13. Rebates: Owner Participation Agreement is prepared, including maximum amount of rebate available to applicant Loans: Loan documents and Owner Participation Agreement are prepared, including Promissory Note and Deed of Trust and Notice of Right to Cancel. Signatures are notarized 14. Documents are filed 15. Pre-Construction conference is held and includes: job walk-through to review scope of work. Review of work, inspection, and payment schedule; explanation of Change Order 14 procedures (if applicable). Review of Davis-Bacon requirements and required postings. Explanation of 10%retention requirement 16. Contractor Agreement is completed by Owner and Contractor 17. Staff retains copy of each completed form, including required signatures, in case file 18. Contractor pulls all permits 19. Contractor receives Notice to Proceed 20. Construction begins 21. Periodic site inspections are made in accordance with applicable program 22. DEFINITIONS APPLICANT Any person or other legal entity that applies for a rebate, or loan under the Commercial Rehabilitation Program. APPLICATION PACKET Forms disbursed to potential participants. BORROWER Any person or other legal entity who holds title to a property being rehabilitated with the assistance of an Economic Development Loan and who is legally responsible for payment of that loan. BUILDING AND PROPERTY REHABILITATION STANDARDS The standards contained in the Building and Safety Code of the City of Rosemead and other local codes and ordinances pertaining to housing construction, land use, occupancy, and maintenance of existing residential properties which are applicable to the property through Code Enforcement action. BUILDING INSPECTOR City employee(s) responsible for inspection(s) of structural, electrical, and plumbing repairs and improvements. The inspector assures compliance of work to applicable Building and Safety Codes. BUILDING DIVISION The Division of the Development Services Department of the City responsible for issuance of building permits, relevant inspections, and certificate of occupancy processing. BUILDING PERMIT Building Division authorization to commence building repairs or improvements. Permits must be issued for most home improvements, including, but not limited to: roofmg, electrical,plumbing, structural changes, foundations, etc. A fee is charged for permits, and inspections are included in the permit cost. COMMUNITY DEVELOPMENT BLOCK GRANT The federal fundiing source as established by the U.S. Department of Housing and Urban Development(HUD). CONTRACT A legally-binding, standardized form which spells out, in detail,the entire scope of work, specific quality, brands of materials, and all other data pertinent to the rehabilitation of the property. CONTRACTOR Eligible contractor is a contractor licensed in accordance with City and State regulations to do the necessary rehabilitation work. No contractor may be utilized who has been disbarred or suspended by order of the Secretary of Housing and Urban Development as periodically reported by HUD. 17 • DAVIS BACON REQUIREMENTS Prevailing wage labor compliance requirements of the federal government. DEED OF TRUST Legal document which secures the loan with the property which is being assisted. The Deed of Trust is for the same amount as the loan and must be signed by the borrower in the presence of a notary public. DIRECT LENDER The City directly loans monies to eligible and approved applicants. FAIR LENDING NOTICE The notice which formally advises the applicant of provisions in the "Federal Equal Credit Opportunity Act" FINANCE DEPARTMENT-ACCOUNTING DIVISION The City Department responsible for processing payments and record keeping. INSPECTION CARD Card posted at site of rehabilitation once building permits are issued. Building inspector signs off various inspections on Card as job progresses. LIEN RELEASE A form signed by the contractor and/or workers on payment for labor services in the rehabilitation process. A Material Lien Release may also be provided which is also signed by the material supplier or contractor. LOAN DOCUMENTS All forms relevant to actual execution of the loan, including 3-day Rescission Notice, Truth-in-Lending Form, Promissory Note, and Deed of Trust. LOT BOOK REPORT A report supplied by a qualified title reporting company which lists all owners and liens and legal description relevant to the property. The lot book report must be received and reviewed by staff prior to preparation and execution of documents. PLANNING DIVISION The Division of the City responsible for site plan checking, land use and zoning compliance. PROMISSORY NOTE A form,part of the loan documents, which is the borrower's agreement to pay back the amount borrowed in accordance with the established terms of the loan. RIGHT OF RESCISSION The borrower's right within a three day working period from the date of loan signing to rescind the entire loan transaction. TRUTH IN LENDING The form included in the loan document package which details all terms of the Loan. Principal, interest,monthly payments, late charges, and related costs must be spelled out. WORK WRITE-UP A form which outlines the complete and suggested scope of work to be 18 performed.
