and
ROSEMEAD CHAMBER OF COMMERCE
THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is entered into on this 20th
day of December, 2023 ("Effective Date") by and between the CITY OF ROSEMEAD, a
municipal corporation (the "City") and the ROSEMEAD CHAMBER OF COMMERCE, a
California non-profit corporation ("Chamber"), collectively referred to as the "Parties."
RECITALS
WHEREAS, the City desires to contract with Chamber for business promotion and public
information services and pursuant to the provisions of Section 37110 of the Government Code, the
City may spend certain monies for the purpose of promotion and economic development and the
City Council of the City authorized the City Manager to sign this Agreement on the City's behalf at
its December 12, 2023 meeting recognizing that the Chamber's central location and services provide
a benefit to the public by strengthening business relationships within the community, facilitating. the
dissemination of information to the business community, and promoting business retention and
attraction within the City.
OPERATIVE PROVISIONS
NOW, THEREFORE, in consideration of the mutual promises and covenants made by the
Parties and contained here and other consideration, the value and adequacy of which are hereby
acknowledged, the parties agree as follows:
SECTION 1. CITY AGREES: The City shall pay $450 or 50% of the Chamber's rent for its 18
month lease commencing on February 1, 2024, located at 8780 Valley Blvd., Ste -J, Rosemead,
CA 91770 in an amount not to exceed $8,100 for the term of Chamber's lease, unless additional
compensation is approved in writing by the City Council. The City shall pay Chamber on a
monthly basis as determined by the City Manager. No extension of Chamber's lease will impose
any obligations on City to pay part of or all of Chamber's rent.
SECTION 2. CHAMBER AGREES: In exchange for the City's contributions to Chamber's
rental payment, the Chamber shall develop programs for Chamber members in the City, recruit
new Chamber members, and explore providing professional shared workspaces for Chamber
members to conduct business and related business meetings. In meeting its obligations under this
Agreement, Chamber shall employ, at a minimum, generally accepted standards and practices
utilized by persons engaged in providing services similar to those required of Chamber under this
Agreement. Chamber shall maintain any and all documents and records demonstrating or relating
to Chamber's performance of services pursuant to this Agreement for three years from the date of
execution of this Agreement and to the extent required by laws relating to audits of public agencies
and their expenditures. Upon request, Chamber shall provide City with all documents related to its
obligations under this Agreement.

SECTION 3. INDEMNIFICATION. Chamber shall indemnify, protect, defend and
hold harmless City, and any and all of its employees, officials and agents from and against any
liability (including liability for claims, suits, actions, arbitration proceedings, administrative
proceedings, regulatory proceedings, losses, expenses or costs of any kind, whether actual, alleged
or threatened, including attorneys' fees and costs, court costs, interest, defense costs, and expert
witness fees), where the same arise out of, are a consequence of, or are in any way attributable to,
in whole or in part, the performance of this Agreement by Chamber or by any individual or entity
for which Chamber is legally liable, including but not limited to officers, agents, employees or
sub -contractors of Chamber.
SECTION 4. TERMINATION OF AGREEMENT. Chamber must notify the City
within five (5) days upon its lease's termination or Chamber is notified that its lease will be
terminated. City may terminate this Agreement immediately upon learning that Chamber's lease
is terminated or will be terminated prior to the end of its 18 month lease. Chamber shall return all
unused funds provided by the City as of the date of notice of termination by the City.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the date
and year first -above written.
