CC - Item 4F – Approve Fourth Amendment to Professional Services Agreement With Transtech Engineers, Inc.ROSEMEAD CITY COUNCIL STAFF REPORT TO: THE HONORABLE MAYOR AND CITY COUNCIL FROM: BEN KIM, CITY MANAGER DATE: SEPTEMBER 24, 2024 SUBJECT: APPROVE FOURTH AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH TRANSTECH ENGINEERS, INC. SUMMARY On March 26, 2024, the City Council approved the Third Amendment to the Professional Services Agreement (Agreement) with Transtech Engineers to increase compensation for FY 2023-24 by $138,320 for a total of $569,320 and to extend the contract for an additional one-year term to expire on June 30, 2025. The scope of services provided by Transtech includes city engineering, traffic engineering, and public works inspection services. Due to unforeseen soil conditions during a Residential Street Resurfacing project and an increase in requests for traffic review by the City, there were expenditures over the authorized fiscal year for 2023-2024 for the contract in the amount of $56,213.50. Staff requests to increase the contract authority from $569,320 to $625,533.50 as it relates to the services during FY 23-24 (additional $56,213.50) for the unforeseen additional work and increased level of services rendered to address traffic safety related concerns that the City requested. DISCUSSION The Engineering Division of the Public Works Department is responsible for Capital Improvement Program (CIP) management, contract administration, public works permits/inspections, various Commission support including Planning Commission and Traffic Commission tasks, plan check, map review, NPDES permit compliance support, and other day-to-day engineering related tasks. Since February 2020, Transtech has provided three key engineering services to the Public Works Department including Public Works Inspections, Traffic Engineering, and Engineering Support Services. In March 2024, at the recommendation of staff, the City Council approved an amendment to increase contract service levels for FY 23-24 for the Engineering Support service hours from 14 to 30 hours per week to expedite project delivery, and Traffic Engineering service hours, from 12 hours per week to 24 hours per week to address the City's continued influx of community traffic review requests. The increase in services required an amendment to the contract budget. The amendment to increase the contract budget for FY 23-24 resulted in the allocation shown in Table 1. The following roadways were observed to have subsurface issues when Onyx (Construction Contractor) cold milled the existing asphalt: 1. Artson St from Eckhart Ave to Lafayette St. 2. Parking stalls along the south side of Dorothy St from Brighton St to Kelbum Ave 3. Segments of Evelyn Ave from Emerson PI to Garvey Ave. 4. Segments of Brighton Ave from Hellman Ave to Artson St. 5. Segments of Gladys Ave from Hellman Ave to Dorothy St. Soil pumping and unsuitable soil conditions presented challenges for the contractor and for the Transtech team which caused an increase in inspection and project management coordination during the months of March and April. Construction Management and Construction Inspection services that were needed for the street resurfacing project in the month of March and April which totaled approximately $30,000. With the successful completion of the Residential Street Resurfacing Project the City was able to expend over $730,000 in CDBG funding which assisted the city in meeting a CDBG timeliness deadline. Additionally, between April and June 2024, the City of Rosemead received a higher -than -average number of traffic study requests, which required additional staff time to review. There were 32 traffic review items that were ongoing or initiated between the months of April and June 2024, as compared to, a total of 21 traffic review items completed throughout the entire 2023 calendar year. The 32 items reviewed consisted of development reviews, speed hump requests, all way stop requests, traffic calming requests, as well as Speed Hump Policy development and Red Curb Policy revisions. Additionally, included in the 32 traffic items was the analysis of the 11 street segments and the development of a speed hump policy per direction given to staff at the February 27, 2024, City Council meeting. The traffic engineering review of those 12 items totaled approximately $26,000 through June 2024. Transtech assisted the City in providing support on key projects and engineering tasks during a surge of requests and challenging field conditions. Therefore, staff is requesting an amendment to Transtech's contract due to the unforeseen additional efforts required to ensure the successful delivery of expedited CIP projects and the prompt resolution of traffic -related concerns. City Council Meeting September 24, 2024 Page 3 of 3 STAFF RECOMMENDATION It is recommended that the City Council authorize the City Manager to execute the Fourth Amendment to the Professional Services Agreement with Transtech Engineers, Inc., to increase the FY 23-24 compensation amount from $569,320 to $625,533.50 (additional $56,213.50). FINANCIAL IMPACT There is sufficient funding in the approved Public Works budget to adequately address the $56,213.50 increase associated with the Fourth Amendment compensation amount. Therefore, there will be no requirement for a budget adjustment. ENVIRONMENTAL REVIEW This item is not defined as a project under the California Environmental Quality Act (CEQA); therefore, the proposed item is not subject to CEQA. STRATEGIC PLAN IMPACT The item is consistent with the Strategic Plan's guiding principal for fiduciary responsibility of providing for transparency in financial management of City's finances and providing quality of life enhancement. This FOURTH AMENDMENT ("Amendment") is made and entered into this _ day of , 20_ ("Effective Date"), by and between the City of Rosemead, a municipal organization, organized under the laws of the State of California with its principal place of business at 8838 East Valley Blvd., Rosemead, California 91770 ("City") and Transtech Engineers, Inc., a limited liability corporation with its principal place of business at 13367 Benson Avenue, Chino, CA 91710 ("Consultant"). City and Consultant are sometimes individually referred to herein as "Party" and collectively as "Parties." WHEREAS, City and Consultant entered into an agreement on February 18. 2020, for City Engineering Traffic Engineering and General Enoineering Services (the "Agreement"); and WHEREAS, this Agreement is set to expire on June 30. 2025 ; and WHEREAS, the City and the Contractor agree that there has been additional unforeseen services provided by TransTech, which requires additional compensation; NOW, THEREFORE, the Parties agree as follows: SECTION 1. Section 3 " Terms " shall be amended to read: 3.3.1 Compensation: Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement during the Third Amendment Agreement period ending June 30, 2024, in an amount not to exceed Six Hundred Twenty -Five Thousand and Five Hundred Thirty -Three Dollars and Fifty Cents ($625,533.50). Consultant shall receive compensation, including authorized reimbursement, for all Services rendered under this Agreement between July 1, 2024, and June 30, 2025, in an amount not to exceed Five Hundred Fifty -Three Thousand and Two Hundred Eighty Dollars ($553,280) and in accordance with consultant's proposal dated March 21, 2024. Consultant's proposal is hereby incorporated and found in Exhibit "A". Extra Work may be authorized in writing, as described below, and will be compensated at the rates and manner set forth in this Agreement. SECTION 2. All other terms, conditions, and provisions of the original agreement not in conflict with this addendum, shall remain in full force and effect. SECTION 3. The City Clerk shall certify the adoption of this Addendum and hereafter the same shall be in full force and effect.
