1] • ROSEMEAD CITY COUNCIL STAFF REPORT TO: THE HONORABLE MAYOR AND CITY COUNC L FROM: ANDREW C. LAZZARETTO, CITY MANAGER DATE: JUNE 12, 2007 SUBJECT: AGREEMENT WITH LAIDLAW TRANSIT SERVICES, INC. SUMMARY Laidlaw Transit Services, Inc. provides the City's Dial-A-Ride and fixed-route (Shopper Shuttle) transit services. Since 2002, this contract has been extended annually along with a cost-of-living adjustment. The contract expires on June 30, 2007. It is proposed that the seventh amendment to the original agreement be executed thereby extending the contract through June 30, 2008, and granting a 3.83% cost-of-living adjustment. Staff Recommendation Staff recommends that the City Council approve the Seventh Amendment to the Agreement between Laidlaw Transit Services, Inc. and the City, authorizing a one-year contract extension and a 3.83% cost-of-living adjustment, effective July 1, 2007, and authorize the City Manager or his designee to sign the contract on behalf of the City. ANALYSIS Laidlaw Transit Services, Inc. has been providing the City's transit services since 1996. This includes both the Dial-A-Ride and fixed-route (Shopper Shuttle) transit services. The initial term of the agreement with Laidlaw was for three years. The agreement allows for extensions for an additional three years upon mutual consent. A three-year contract extension was granted in 1999. Since 2002, one-year contract extensions have been granted along with rate increases in accordance with the Consumer Price Index (CPI). The current contract expires June 30, 2007. Laidlaw has requested that the agreement to provide transit services be extended for an additional year, with a rate increase of 3.83%. Thus, the seventh amendment to the original agreement between Laidlaw Transit Services, Inc. and the City is being presented for City Council review. The proposed cost-of-living adjustment for Laidlaw is lower than the last reported Los Angeles-Riverside-Orange Counties annual CPI increase of 5.1% for 2006. The new monthly rates will be as follows: $39,091.34 for Dial-A-Ride and $21,018.04 for the Shopper Shuttle. Adequate funds have been budgeted for FY 07-08 utilizing Proposition A and C funds and transit fare receipts. LEGAL REVIEW The agreement has been reviewed as to form by the City Attorney. This Amendment is made effective the 1st day of July 2007, by and between the City of Rosemead, a municipal corporation (hereinafter "CITY") and Laidlaw Transit Services, Inc. (hereinafter "CONTRACTOR"). This Amendment made effective this 1" day of July, 2004, by and between the CITY OF ROSEMEAD, a municipal corporation (hereinafter "CITY"), and LAIDLAW TRANSIT SERVICES, INC. (hereinafter "CONTRACTOR'). WHEREAS, the parties have executed an Agreement dated July 1, 1996 in which CITY agrees to contract with CONTRACTOR for the performance of certain public transit services; and WHEREAS, a true and correct copy of said Agreement is attached hereto as "Exhibit All and incorporated herein by this reference; and WHEREAS, the parties have executed a First Amendment dated July 1, 1999; and WHEREAS, a true and correct copy of said First Amendment is attached hereto as "Exhibit B"; and WHEREAS, the parties have executed a Second Amendment dated July 1, 2002; and WHEREAS, a true and correct copy of said Second Amendment is attached hereto as "Exhibit C"; and WHEREAS, the parties have executed a Third Amendment dated July 1, 2003; and WHEREAS, a true and correct copy of said Third Amendment is attached hereto as "Exhibit D"; and WHEREAS, the CONTRACTOR has thus far performed the services set forth in the Agreement dated July 1, 1996, the First Amendment dated July 1,. 1999, the Second Amendment dated July 1, 2002 and the Third Amendment dated July 1, 2003; and WHEREAS, the CONTRACTOR has requested a one year extension to that Agreement commencing July 1, 2004 under the terms and conditions specified in the. Agreement dated July 1, 1996. NOW, THEREFORE, the parties agree: That the Agreement dated July 1, 1996 be further amended as follows: All provisions, terms, conditions and requirements of the Agreement dated July 1, 1996 as amended by the First Amendment shall continue in full force and effect, except as amended below. \J • II.
