A compilation is limited to presenting in the form of financial statements information that is the representation of the owner. I have not audited or reviewed the accompanying financial statements and supplementary schedules and, accordingly, do not express an opinion or any other form of assurance on them. However, I did become aware of two departures from generally accepted accounting principles that are described in the following paragraphs. As disclosed in Note B to the financial statements, generally accepted accounting principles require that a provision for uncollectible contracts receivable be recorded. The Company has not recorded such a provision for uncollectible contracts receivable in the accompanying financial statements. It has been determined that this departure would have no effect on the financial position, results.of operations, and cash flows. As disclosed in Note D to the financial statements, generally accepted accounting principles require that fixed assets be depreciated over their estimated useful lives. The Company has computed depreciation on their fixed assets in accordance with the Modified Accelerated Cost Recovery System required for federal income tax purposes, which does not allocate depreciation to expense over the estimated useful lives of the assets. The effects of this departure from generally accepted accounting principles on financial position, results of operations, and cash flows have not been determined. Thomas Whitney DBA: Summit Golf Notes to the Financial Statements For the periods ended September 30 and June 30, 2000 Note A — Summary of Significant Accounting Policies This summary of significant accounting policies of Summit Golf (a Sole Proprietorship) is presented to assist in understanding the Proprietorship's financial statements. The financial statements and notes are representations of the Proprietorship's owner, who is responsible for their integrity and objectivity. Business Activity The Proprietorship is engaged in the business of planning and pre - construction coordination of golf course development, from conception of an envisioned golf course to the actual construction of a turnkey golf course. The length of the contracts varies but is typically between one month and one year. Revenue Recognition The Company's policy is to prepare its financial statements on the accrual basis of accounting. Consequently, certain revenues are recognized when earned and certain .expenses and purchases of assets are recognized when incurred. Most of the Company's contracts are calculated based on time and materials. The revenue from these contracts is recognized as the bills are rendered to the client, since it is that point in time when the amount owing becomes fixed and determinable. Contract costs include all direct materials and labor costs as well as those indirect costs related to contract performance, such as indirect labor, small tools, and depreciation costs. Selling, general and administrative costs are charged to expense as they are incurred. Property and Equipment Property and construction equipment are stated at cost. Construction equipment under capital leases is stated at the present value of minimum lease payments at the inception of the lease, where applicable. Depreciation on construction equipment is calculated on the straight -line method utilizing time periods prescribed by the Modified Accelerated Cost Recovery System required for federal income tax purposes, which does not allocate depreciation to expense over the estimated useful lives of the assets. This is considered a departure from generally accepted accounting principles, the effects of which on the financial statements as a whole have not been determined. Expenditures for maintenance and repairs are charged to expenses as incurred. Income Taxes The proprietorship itself is not a taxpaying entity for the purposes of federal and state income taxes. Income taxes of the proprietor are computed on the total income from all sources, accordingly, no provision for income taxes is made in these financial statements. However, the individual tax return prepared for the proprietor may be different than the financial statements due to treatment differences of certain items for book purposes versus tax return purposes. Use of Estimates The preparation of financial statements that are in conformity with generally accepted accounting principles requires management to make estimates and assumptions that affect certain reported amounts and disclosures. Although these statements have been prepared on a comprehensive basis of accounting other than , generally accepted accounting principles, certain estimates were used in these statements. Accordingly, actual results could differ from those estimates. Note B — Client Fees Receivable At September 30 and June 30, 2000 the Client Fees Receivable included the following as shown in Exhibit B -l: Although this is a departure from generally accepted accounting principles, no allowance for doubtful accounts has been estimated or recorded because the owner considers the receivables as fully collectible. If amounts become uncollectible, they will be charged to operations when that determination is made. 12 D. The amount retained on gross billings of $194,389 as of September 30, 2000 was $19,439. This amount will be billed to the client upon substantial completion of the project in January, 2001. Note D - Property and Equipment Property and equipment are carried at cost. Depreciation of property and equipment is provided using the straight -line method over, periods prescribed by the Modified Accelerated Cost Recovery System instead of over the estimated useful lives of the assets, which constitutes a departure from generally accepted accounting principles, the effect of which has not been determined. Further, significant investments in betterments have been made to much of the equipment under operating leases since it was the intention of management from the initiation of the contract to purchase these pieces when their balloon payments became due at the end of the term. The balloon payments on the operating leases in effect as of September 30, 2000 totals $104,790 due m varying increments between March and October, 2001. Note I — Work in Progress See Exhibit I -1. Note J- Major Customers The Company had revenues from one customer during the period ending September 30, 2000 that accounted for approximately 52% of total revenues for the period. This number is less than the 90% concentration this customer held during the previous six months. The reduction in concentration is a result of several new client projects starting in this quarter. Note K - Uncertainties, Contingencies and Risks Specific Uncertainties Concentrations All of the Company's revenue earned during the nine months ended September 30, 2000 was derived from consulting, lender's representation, construction management and golf course construction. The estimates on the following schedule were conservatively developed based on data available to the construction industry regarding the used equipment market. The pieces in question were acquired at auction, hence the owner was able to procure them for values well below market. The equipment financed under operating leases will be purchased outright at the end of their lease term and are therefore included in the asset listing for purposes of this footnote only. All of the provisions of said contract documents are made a part hereof as through fully set forth herein. ARTICLE II For and in consideration of the payments and agreements to be made and performed by AGENCY, CONTRACTOR agrees to furnish all materials and perform all work required for the above - stated project, and to fulfill all other obligations as set forth in the aforesaid contract documents. Irrigation -Rsmd PlJsb .ARTICLE III CONTRACTOR agrees to receive and accept the prices set forth in the Proposal as fill] compensation for furnishing all materials, performing all work, and fulfilling all obligations hereunder. Said compensation shall cover all expenses, losses, damages and consequences arising out of the nature of the work and the whole thereof in the manner and time specified in the aforesaid contract documents; and also including those arising from actions of the elements, unforeseen difficulties or'obstructions encountered in the prosecution of the work, suspension or discontinuance of the work, and all other unknowns or risks of any description connected with the work. ARTICLE IV AGENCY hereby promises and agrees to employ, and does hereby employ, CONTRACTOR to provide the materials do the work and fulfill the obligations according to the terms and conditions herein contained and referred to for the prices aforesaid, and hereby contracts to pay the same at the time, the manner, and upon the conditions set forth in the contract documents. ARTICLE V CONTRACTOR acknowledges the provisions of the State Labor Code requiring every employer to be insured against liability for worker's compensation, or to undertake self insurance in accordance with the provisions of that code, and certifies compliance with such provisions. ARTICLE VI CONTRACTOR agrees to indemnify, defend and hold harmless AGENCY R THE CITY OF ROSEMEAD and all of its officers and agents, from any claims,- demand, or cause of action, including related expenses attorney's fees and costs based on arising out of, or in any way related to the work undertaken by CONTRACTOR hereunder. In the event the insurance coverage is on a claims made basis, the Contractor shall indemnify and hold harmless the City and all of its officers and agents, from any and all claims, demands, or causes of action that arise after the expiration of the Contractor's current policy or after the service contract has ended, for any occurrences arising out of, or in any way related to the work undertaken by the Contractor. The liability insurance coverage requirements shall be as set forth in Exhibit " P', California Joint Powers Insurance Authority. Insurance shall name the Rosemead Redevelopment Agency, its officers, agents and employees as additional insured by endorsement of the Contractor's policy. A copy of the endorsement, showing policy limits, shall be provided to the City on or before signing this contract. ARTICLE VII CONTRACTOR affirms that the signatures, titles, and seals set for the hereinafter in execution of this Contract .Agreement represents all individuals, firm members, partners, joint ventures, and /or corporate officers having principal interest herein. ARTICLE VIII Records and .Audits. The Contractor shall maintain accounts and records, including personnel, property, and financial records, adequate to identify and account for all costs pertaining to the contract and such other records as may be deemed necessary by the City to assure proper accounting for all project funds. These records will be made available for audit purposes to the City of any authorized representative and will be retained for 5 years after the expiration of this contract unless permission to destroy them is granted by the City. IN WI=S WHEREOF, the parties hereto for themselves, their heirs, executors, administrators, successors, and assigned do hereby agree to the full performance of the covenants herein contained and have caused this Contract Agreement to be executed in triplicate by setting hereunto their names, titles, hands, and seals this 12'" day of December, 2000.
