BURBANK, DIRECTOR OF PARKS & RECREATI~ DATE: JULY 31, 2000 RE: LANDSCAPE ARCHITECT'S PROPOSAL -NEW AUTOMATIC IRRIGATION SYSTEM AT ROSEMEAD PARK As part of the Rosemead Redevelopment Agency's 2000-2001 budget, three hundred and seventy-five thousand and four hundred dollars 375,400) where allocated to install a new automatic irrigation system at Rosemead Park. To implement the project, an Architectural proposal for professional services has been acquired from S. Roy Kato Associates, Landscape Architects. By way of background, Mr. Kato's firm was utilized to design and develop the Medians on Rosemead Boulevard and the picnic shelters at Garvey and Rosemead Park. The Architect's proposal is divided into four (4) parts. The Investigative Phase consist of a detailed topography survey followed by the Preliminary Phase. Working Drawings and Construction Phase will be implemented after approval of the Preliminary Phase. RECOMMENDATION: It is recommended that the Rosemead Redevelopment Agency approve the Agreement with S. Investigative Phase 1. Topographic Survey, showing a. An aerial topographic survey over the entire park b. Indicate mounds, sprinkler heads, visible surface improvements, all visible utility appurtenances. C. Locate electrical switch boxes, etc. d. One foot contours e. Assumed datum f. Locate any underground utility markings placed by others. g. Omitted are detail topography in the paved areas or all buildings and the paved or concrete improvements appurtenant to the building. S. Irrigation plan and legend showing heads, pipe sizes, valves and controllers. 2. Landscape plan showing repairs to proposed irrigation work. 3. Construction Phase: The Landscape Architect will make visits to the site to familiarize himself generally with the progress and quality of the work and to determine in general if the work is proceeding in accordance with the Contract Documents. On the basis of his on-site observations as a Landscape Architect, he will keep the City informed of the progress of the work and will endeavor to guard the City against any defects and deficiencies in the work of the Contractor. The Landscape Architect will not be responsible for construction means, methods, techniques, sequences of procedures, or for safety precautions and programs in connection with the work and he will not be responsible for the Contractor's failure to carry out the work in accordance with the Contract Documents. Site visits are recommended for the following phases of work: 2 Planting: Check placement of plant material prior to installation. Pre-maintenance and final maintenance inspection. II. Responsibilities of the Client shall include: A. Furnishing site information, building information, and testing as requested by the Landscape Architect. B. Payment of contract fees, reimbursable expenses, and any charges for approved additional services. III. Additional Services: The following additional services may be provided by the Landscape Architect upon the consent of the Client. A. Preparing special studies or reports for the Client's consideration beyond those prepared in the normal development of a project of this mature. Attending and preparing for public hearings if required by the Client. B. If, after a scheme has been approved, the Client makes a decision which, for its proper execution involves additional services and expense for changes in or additions to the drawings, specifications or other documents; or if the Landscape Architect be put to labor or expense by delays caused by the Client or a contractor, or by delinquency or insolvency of either, the Landscape Architect is to be equitably paid by the Client for such additional AGREEMENT FOR LANDSCAPE ARCHITECTURAL SERVICES Rosemead Park, New Irrigation System Design July 26, 2000 Page 4 of 6 service and expense. C. Compensation for additional services shall be at a rate of $100.00 per hour for senior principal time, $65.00 per hour for CADD Operator time, and $35.00 per hour for clerical assistance. IV. Reimbursable Expenses: A. Reproduction of all documents, including postage and shipping charges shall be paid for at cost plus 10% for handling. B. Fees paid for securing approval of authorities having jurisdiction over the project. C. Special presentations such as models or renderings requested by the Client. D. Mileage at $0.31 per mile. E. Computer Aided Drafting (CADD plots at $3.65 per square foot. This will be charged if the CADD plotting allowance has been satisfied. F. FAX reimbursement at $1.50 per FAX. V. Termination Services may be terminated upon ten (10) days written notice by either party stating the reason for termination or suspension. All reasonable payments due to the Landscape Architect at date of termination including reimbursable expenses shall be paid. VI. Successors and Assignments The Client and the Landscape Architect, each binds himself, his partners, successors, legal representatives, and assigns to the other party to this agreement and to the partners, successors, legal representatives and assigns of such other party in respect of all covenants of this agreement. Neither the Client nor the Landscape Architect shall assign or transfer his interest in this agreement without the written consent of the other. Said consent shall not be unreasonably withheld. Ownership of Drawings and Specifications As instruments-of-service of the Landscape Architect whether the work for which they are made be executed or not. Landscape Architect reserves a copyright for all work prepared by its office. VIII. Mediation All disputes under this agreement shall be submitted to mediation in accordance with provisions then in existence at the American Arbitration Association, or by mutual agreement to another mediator before resorting to a lawsuit. IX. Scope of Agreement This is the entire agreement between the parties and there are no agreements or representations between the parties except as expressed herein. Any subsequent amendments or changes in scope must be agreed to by both parties in a signed writing. X. Limitation of Liability The Owner agrees to limit the Landscape Architect's liability to the Owner and to all construction Contractor's and Subcontractors and third parties on the project, due to the Landscape Architect's negligent acts, errors or omissions, breech of contract, breach of warranty or any other theory of liability excepting only intentional or willful conduct, such that the total aggregate liability of the Architect to all those named shall not exceed $250,000.00 or the Landscape Architect's total fee for services rendered on this project, whichever is greater. XI. Should a dispute arise between the parties, the prevailing party is entitled to reimbursement of all reasonable attorney fees, expert fees, consultant fees, and any other reasonable cost of litigation.
