Rosemead High School State Girls Recognition Esthela Torres, El Monte ALA Girls State Chair,introduced Vivian Macias and Vy Huynh as this year's Girls' State participants from Rosemead High School. She noted another participant, Emily Chan, wasn't able to attend the meeting. Mayor Pro Tern Ly provided a background on the Girls' State program. He thanked Ms. Torres for her work on the program and congratulated the participants. Council Member Armenta congratulated this year's participants and noted she looks forward to great things from them in the future. She noted Mayor Pro Tern Ly was a Boys' State participant when he attended Rosemead High School. The City Council presented certificates of recognition to Ms. Macias and Ms. Huynh. B. Rosemead Fitness and Health Fair Art Contest Winners Mayor Low introduced Meiling Su, who is the organizer and coordinator of the Annual Fitness and Health Fair. Ms. Su presented certificates of recognition to the following individuals: I. Hailey Ting (5 years old) 2. Jessica Li (8 years old) 3. Selene Yung (10 years old) 4. Lynn Chen (12 years old) 5. Zhun Jiang (16 years old) Council Member Armenta congratulated the winners of the Rosemead Fitness and Health Fair Art Contest. She noted the artistic ability of the participants get better every year. Council Member Clark expressed her appreciation for the participants' artistic ability. Resolution 2018-03 — Providing Permission to Councilmember Alarcon to be Absent from Council Meetings Pursuant to Government Code Section 36513 Recommendation: It is recommended that the City Council has the following options: 1. Adopt Resolution 2018-03, providing permission for Councilmember Alarcon to be absent from Council meetings up to an including February 27's pursuant to Government Code Section 36513; or A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ROSEMEAD, CALIFORNIA, GRANTING PERMISSION TO COUNCILMEMBER ALARCON TO BE ABSENT FROM COUNCIL MEETINGS PURSUANT TO GOVERNMENT CODE 36513 2. Another option presented by the City Council. E. National League of Cities 2018 Congressional City Conference— March 11 — 14, 2018—Washington, DC Recommendation: 1. Staff recommends that the City Council authorize the attendance, at City expense, of any Council Member that wishes to attend the National League of Cities Congressional City Conference in Washington, on March II — 14,2018. 2. If the majority of the City Council attends the conference, the March 13, 2018, City Council meeting to be cancelled due to a lack of quorum. Mayor Pro Tem Ly stated item S.D has two options for the City Council to choose from.He asked if the consent calendar is passed,if it mcant the proposed resolution was going to be adopted. City Attorney Richman answered affirmatively. Mayor Pro Tem Ly stated item 5.E includes the option to cancel the March 13,2018 City Council meeting if the majority of the City Council attends the National League of Cities Conference. He asked if cancelling the March 13'h meeting would have to be brought back at a future meeting for approval. Therefore, it would not have to be brought back at a future meeting. ACTION: Moved by Mayor Pro Tern Ly and seconded by Council Member Armenta to approved Consent Calendar items A, B, C, D, and E. Motion was carried by the following vote: AYES: Armenta, Clark, Low, Ly and ABSENT: Alarcon 6. MATTERS FROM CITY MANAGER & STAFF A. Traffic Signal Maintenance and Repair Agreement and Budget Amount Increase— St. Francis Electric Recommendation: It is recommended that Council approve an amendment to the contract with St. Francis Electric to include a"not to exceed" maintenance amount of $71,800 for St. Francis Electric in addition to the already approved $53,475 monitoring amount and authorize the City Manager to execute the amended contract. Senior Management Analyst Piatt reported on December 12, 2017, staff requested that the City Council increase the annual contractual amount for St. Francis Electric as a result of needed repairs and necessary equipment upgrades, which were not accurately budgeted under the original contract. Due to a lack of supporting documentation to the staff report, the City Council requested that this item be brought back. St. Francis Electric is currently under a two-year contract that began January 30, 2017, with a flat monthly fee of $4,456.25. In addition, the contract includes a variety of costs as related to the maintenance and/or repair of worn-out, damaged, or faulty equipment. As a result, an additional $53,475 was budgeted to cover these costs in the City's budget for Fiscal Year 2016-2017 under the Traffic Signal Maintenance Services account. The initial approval for the contract was for $106,950 which included both the maintenance and monitoring. Unfortunately, only the cost for monitoring was included in the contract. Staff determined that amount allocated towards the maintenance cost was under budgeted and needs to be increased to$71,800. Staff is requesting that the City Council amend the contract to include and not to exceed maintenance amount of 571,800.00, this cost includes the average annual cost of$68,353 plus a five percent contingency of $3,418.00. The total contract amount for St. Francis Electric will be $125,275.00. Jill Petrie representing St. Francis Electric stated the original contract is for maintenance and addressing issues with ongoing equipment that has failed or is obsolete. She reported in the beginning there were a lot of deficiencies which pose a liability to the city, specifically in school zone areas. Adding there were 75 to 80 percent of speed signs not working properly. Ms. Petrie explained St. Francis Electric is working closely with staff and has repaired 99 percent of speed signs, which are back up and operational. Rosemead City Council and the Successor Agency to the Rosemead Community Development Commission Special and Joint Meeting Minutes of January 9,2018 Page 5 of 13 At the request of Council Member Clark, Ms. Petrie explained St. Francis Electric was advised by staff there were past repairs and maintenance items that had not been addressed. Mayor Low asked Public Works Director Ramirez about the budget allocation for traffic signal maintenance in the two-year contract. She reiterated the monitoring price is not the problem, we are still paying the monthly fee. It's the repair amount part we did not have a contract for. Public Works Director Ramirez affirms that the "repair amount" was not included in the original contract. Mayor Low clarified we have been asking St. Francis Electric to do repairs that have exceeded the $53,000, which we have spent a total of$71,000. Public Works Director Ramirez replied the total spent will be reached by June on the repairs portion. The contract is from January through December, and the city operates on a fiscal year budget. Staff is requesting an additional $20,000 to finish the year with St. Francis Electric and amend the contract that clarifies the repairs part of the contract of$71,000. Mayor Pro Tem Ly asked Public Works Director Ramirez to expand on the comment made about the `repair amount" not being approved in the original contract and asks how the contractor was able to start making repairs. Public Works Director Ramirez replied after extensive analysis, the original agreement approved by City Council does not state the maintenance portion amount of the total allocated budget. Staff inadvertently wrote $53,000 for the monitoring part only and not the full $106,000 that was initially approved by the City Council. Mayor Pro Tem Ly reiterated initially when the City Council approved the contract the$106,000 did include the repairs. Council Member Armcnta asked City Clerk Marc Donohue if the contract was a competitive open bid,and if all specifications were included in request for proposal. The question was redirected to Senior Management Analyst Piatt and Public Works Director Ramirez. Council Member Armenta argues that the City budgeted in accordance to the proposed bid by St. Francis Electric. Senior Management Analyst Piatt stated the known monitoring costs were budgeted for$53,475. Council Member Armenta asked if the scope of services included in the proposal was included, therefore every bidder understood what the services were to be rendered. She asked if the proposal included repair services because the premise here is that this is only for monitoring. Rosemead City Council and the Successor Agency to the Rosemead C annum! Development Conunissimt Special and Joint Meeting Minutes of January 9, 20/8 Page 6 of 13 Senior Management Analyst Piatt acknowledged that repairs was included and states the contractor was asked for specific itemized costs. Public Works Director Ramirez stated the bid was not the problem but the contract, staff erroneously put$53,000 instead of$106,000 amount, which only included the maintenance services. Council Member Armenta inquired on the amount of Si. Francis Electric's bid. Public Works Director Ramirez replied contractors responded to the bid by providing itemized cost of services. The total request for proposal by staff was given at$54,000. Council Member Armenta directed the attention of the council to a clause under item 6A, to note that both monitoring and maintenance are specified within the contract. She referenced section 3.3.1 regarding the compensation of the traffic signal services maintenance agreement, noting that a "not to exceed amount for these maintenance costs" was placed in the contract. She also made references in the contract in section A under the preventive maintenance clause.In addition,Mrs. Armenta referenced the performance bond and the scope of work and proposal under exhibit A preventive maintenance, which is where you would consider monitoring. Mrs. Armenta further expressed the contract stipulates when St. Francis Electric is able to request more money from the city. She asked the Council if the City was setting precedence for future contracts. Mayor Low clarified the situation that the"repair amount" was not in the contract. City Attorney Richman asked the City Council to use more specific language. Highlighting that the proposal clearly indicates that St. Francis Electric will work on both flat maintenance and scheduled repair services. The mistake in the contract is the fee in the contract only includes $53,475. At the request of Council Member Armenta, Public Works Director Ramirez explained St.Francis Electric's bid proposal repair cost were divided out by specific service costs. Council Member Armenta explained that she brought attention to the scope of work in order to draw attention to a portion of the staff report indicating that the city is going to have its employees do the maintenance. Public Works Director Ramirez explained at times staff may be able to do some maintenance such as turning on a switch that turned off instead of calling St.Francis Electric and having to pay for that cost. We are not going to have staff do anything that would be a liability on the city. Mayor Low reiterated the original agreement cost is for$106,950 and the proposed increase is an estimated$20,000 over the original agreement. Rosemead City Council and the Successor Agency to the Rosemead Community Development Comm issvion Special and Joint Meeting Minutes of.January 9, 2018 Page 7 of 13 Council Member Armenta asked what the contingency percentage in the proposal is because the percentage is not included in the staff report, and the city could have easily exceeded the contingency percentage of what St. Francis Electrics' original bid. She cautions the council from setting precedent for other bidders. Mayor Low validated Mrs. Armenta's points and emphasized the need for careful review of contracts and the phrases such as "not to exceed". Council Member Armenta asserts the contract does include a "not to exceed" phrase; however the wrong amount was inserted and emphasizes that the contract is legally binding. Mrs. Armenta further states what is currently being questioned is the wrong amount not to exceed inserted in the contract. Mayor Low points out the two parts in question, the monitoring work involves a flat maintenance fee and the second part regarding repairs involves a per service price, causing the budget to vary and requiring a"not to exceed" phrase. Council Member Armenta stated the city budgets according to the bid and what the contract states. She explains the city did budget for both maintenance and repair services, however in spite of the proposed budget increase, the cost is still over the original contract. In addition, Mrs. Armenta notes that the contract also states that any emergency repairs must be approved by the city first. Mayor Low stated the first issue is the problem of the contract written incorrectly and secondly, the ineffective monitoring of the project. Mayor Pro Tern Ly asked how much of the original budget of$106.950 has already been used. Director of Public Works Ramirez replied for calendar year 2017 the City paid St. Francis Electric $148,750. Mayor Pro Tern Ly points out the City Manager was authorized to enter a two-year agreement with St. Francis Electric for the annual cost of $106,950 and roughly $214,000 for the two-year contract. Mr. Ly adds the city has about$65,000 left to spend with the current contract. Council Member Armenta called attention back to the scope of services and terms to indicate the section in the staff report that holds St. Francis Electric agreeable to use parts and equipment purchased by the City, should be omitted based on the terms of the contract that requires the company to use their own equipment. In addition, points out item B clause 3.5 in general provisions and 3.5.1.1 grounds for termination of agreement, emphasizing the City could easily terminate the contract without cause by written notice and begin another bid. Mayor Low asked staff how much the City currently owes St. Francis Electric. Rosemead City Council and the Successor Agency to the Rosemead Community Development Commission Special and Joint Meeting Minutes of January 9, 2018 Page 8 of 13 Director of Public Works Ramirez replied the city currently owes the company for the months of December and January; however a contract termination would leave the city without a traffic light servicer. Council Member Armenta suggested a month to month agreement is possible or an agreement with another bidder. Mayor Pro Tern Ly asked how long it would take staff to initiate a request for proposal process. Senior Management Analyst Piatt replied that staff would be ready to present a request for proposal to the City Council by the end of March or beginning of April. Mayor Pro Tem Ly asked City Attorney Richman if the City could choose the next bidder on the list. City Attorney Richman clarified that it is not a public works construction contract, it is a maintenance and monitoring contract, therefore it is not required to choose the lowest bidder. Council Member Armenta asked the council whether or not they are willing to set precedent for a contractor to ask for more than the contingency percentage. Mayor Low asked Council Member Armenta to clarify if she believed this was an error beyond a mistake of cost in the contract. Council Member Armenta affirms she believes that although errors were made St. Francis Electric was fully aware of the terms within the contract,for this reason she favors terminating the contract and opening another hid. Council Member Clark requested Mayor Low to call Jill Petrie from St. Francis Electric for clarification. Jill Petrie explained during the request for proposal process St. Francis Electric did ask questions to the City to clarify whether potential items in need of repair would be billed under contract time and material rates, due to the absence of individual unit costs for the items in the proposal. Ms. Petrie further disclosed that the City replied, material was not to exceed for any work covered by the cost proposal in the solicitation and as a result, the proposal did include time and material rates for the items. Council Member Armenta stated the contractor was obligated to submit a cost proposal to the City prior to performing any corrective work. The city had to approve any corrective work. Ms. Petrie assures that proposals were sent and authorization was given to proceed on corrective work and communication was given after emergency work was performed. Rosemead City Council and the Successor Agency to the Rosemead Community Development Commission Special and Joint Meeting Minutes of January 9, 2018 Page 9 of 13 Public Works Director Ramirez and Senior Management Analyst Piatt confirmed that strong communication takes place between St. Francis Electric and the City prior to the company conducting any corrective work. At the request of Mayor Pro Tem Ly, Senior Management Analyst Piatt assured the Council, they will receive work summaries in the agenda as he continued to read past work orders completed by St. Francis Electric. Mayor Pro Tern Ly asked which of those items are categorized as emergency items. Senior Management Analyst Piatt replied items listed were not emergency items, but approved ahead of time. Mayor Pro Tem Ly reiterates Council Member Armenta's question about the emergency items replaced. Ms. Petrie stated the City receives separate invoices of emergency items replaced because they are insurance related. Public Works Director Ramirez affirms that the City is currently awaiting three reimbursements. Mayor Low acknowledged both parties are guilty of the poor oversight and reviewing of the contract. She reiterated the budget overrun is the real issue of $18,325 which is more than what was agreed upon. Council Member Armenta added that an anticipated hourly rate must be approved similar to all other contracts. Mayor Low stated despite the poor language in the contract,the intent was the total allocated budget of$106,950 for both monitoring and repairs. Mayor Low asked Public Works Director Ramirez about the option of honoring the original agreement amount of$53,475 without amending the contract. Public Works Director Ramirez stated the depending factor relies on variable costs. In addition, she stated since July, costs have dramatically decreased due to better oversight. Mayor Pro Tem Ly urged staff to make frugal and sound decisions in the remaining length of the contract. Finance Director Lieu discloses that in a 5-month period of July 2017 to date, $50,000 has been spent and recommended the contract be amended to get through the rest of the fiscal year. City Attorney Richman questioned if the contract needs to be amended with the "not to exceed"clause before reaching the budgetary ceiling. Rosemead City Council and the Successor Agency to the Rosemead Commnunih, Development Commission Special and Joint Meeting Minutes of January 9, 2018 Page 10 of 13 Finance Director Lieu stated that the language should be corrected in the contract before June 30, 2018 for auditing purposes. City Attorney Richman recommended changing the language in the contract to include$106,950 figure. Council Member Armenta recommended "striking" St. Francis Electric's ability to use city parts and equipment as stated in the staff report. Public Works Director Ramirez clarified the contractor does not utilize city parts or equipment. The contractor orders the parts on behalf of the city, charging the City an additional 15% markup. Public Works Director Ramirez offered an alternative, by ordering parts directly and shipping them to the contractor for installation, therefore eliminating the 15% mark up. Mayor Low asked Public Works Director Ramirez if that is conclusive in the staff report section read by Council Member Armenta, that allows the contractor to use City parts and equipment to which Council Member Armenta declines. Public Works Director Ramirez admits that the language did not match the detailed statement provided. Council Member Armenta questioned the "misleading" language used. Public Works Director Ramirez stated an addendum can include clearer language and reviewed by the city attorney. City Attorney Richman explained that the addendum, if approved, will be more concise in the process and language of purchase orders, payments, and costs for the two-year contract, including the "not to exceed" $106,950 annual figure per year that is more reflective of the contractor's proposal and staff's intention. Mayor Pro Tern Ly recommended staff to monitor the situation carefully if we are exceeding the cost and not staying within budget, we should consider working on a request for proposal in preparation of termination of the contract. Mayor Low acknowledged the City is operating under a tight budget and that there are costs to consider. Mayor Pro Tern Ly asked about the length of a request for proposal process. Public Works Director Ramirez replied the process takes about 6 weeks, and about 3 to 4 months once a contract is approved by the Council. City Attorney Richman requested that the motion clarify the language in section 3.3.1 to reflect a "do not exceed" amount for$106,950 per year for two years. Rosemead City Council and the Successor Agency to the Rosemead Communil_v Development Commission Special and Joint Meeting Minutes of January 9, 2018 Page 11 of 13 Councilmember Armenta expanded the clarification to include what the City is purchasing. Mayor Pro Tern Ly motions that staff also prepare a request for proposal should it he needed. City Attorney Richman clarified that the council wants to make sure that the contract states, staff is permitted to purchase the equipment and that is it to avoid the 15 percent markup. Director of Public Work Ramirez replied affirmatively. Council Member Armenta argued the original contract St. Francis Electric promised to provide all materials, why should the city even look into purchasing anything. Mayor Low reiterated sometimes staff can purchase the equipment and not have to pay the 15 percent markup cost, otherwise St. Francis Electric will have to charge the city the 15 percent markup on equipment. ACTION: Moved by Mayor Pro Tern Ly and seconded by Council Member Clark to approve an amendment to the contract with St. Francis Electric to include a "not to exceed" maintenance amount of $106,950 per year for two years. clarifying language permitting staff to purchase equipment to avoid paying the 15 percent mark-up cost, and to direct staff to prepare a request for proposal should it be needed. Motion was carried by the following vote: AYES: Clark, Low, Ly NOES: Armenta and ABSENT: Alarcon 7. MATTERS FROM MAYOR & CITY COUNCIL A. Approval of City Manager Contract with Gloria Molleda Recommendation: The City Council approve a contract with Gloria Molleda for the position of City Manager. Mayor Low noted the terms of the contract are the same terms which were included for the prior City Manager. Mayor Pro Tem Ly stated Ms. Molleda was the Director of Communications/City Clerk during her previous employment with the City. He added the City of Rosemead should be proud of this appointment because of the historical culture of appointing first-time City Managers. He noted Ms. Molleda will be the first female and Latina City Manager in the City of Rosemead. Council Member Armenta praised Ms.Molleda's work ethics and dedication to her work and the City. Rosemead City Council and the Successor Agency to the Rosemead Community Development Commission Special and Joint Meeting Minutes of January 9, 2018 Page 12 of 13 Council Member Clark announced she was voting no on the appointment.She noted that it was nothing personal with Ms. Molleda. Mayor Low welcomed and looked forward to working with Ms. Molleda. ACTION: Moved by Council Member Armenta and seconded by Mayor Low to approve a contract with Gloria Molleda for the position of City Manager. Motion was carried by the following vote: AYES: Armenta, Low, Ly NOES: Clark and ABSENT: Alarcon Gloria Molleda thanked the City Council for giving her the opportunity to serve as City Manager and looks forward to working with them, staff and the community. B. City Council Comments Council Member Clark talked about the Asian Citrus Psyllid Pest affecting citrus trees and an upcoming open house at the Rosemead Library on January 16, 2018. She suggested the information be shared on the city's website for the residents. Council Member Armenta reported out that she attended the League of California Cities Latino Caucus conference in Las Vegas, which is sponsored through the Brotherhood of Carpenters that assist with career pathways to students. No city funds were used for her trip.
