CC - Item 4K - Amendment No. 1 to Professional Services Agreement for Gonsalves and SonsROSEMEAD CITY COUNCIL STAFF REPORT TO: THE HONORABLE MAYOR AND CITY COUNCIL FROM: BEN KIM, CITY MANAGER^ DATE: JUNE 13, 2023 SUBJECT: AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT WITH JOE A. GONSALVES & SONS SUMMARY On July 1, 2022, the City of Rosemead ("City") entered into a Professional Services Agreement ("Agreement') with Joe A. Gonsalves & Sons ("Gonsalves") for state legislative advocacy services for a one-year period for a total cost of $30,000. The current agreement is set to expire on June 30, 2023. At the February 28, 2023, City Council Meeting, the City Council requested that an item be brought forward at a future meeting to discuss the scope of work for a Request For Proposals ("RFP") related to state lobbyist and advocacy services. Although the item has been placed on the agenda for several meetings, the discussion has yet to occur. In anticipation of further City Council direction and lapse in advocacy service, it is recommended that the City Council authorize City Manager to execute Amendment No. 1 with Joe A. Gonsalves & Sons for a two- month period in an amount not to exceed $5,000. STAFF RECOMMENDATION It is recommended that the City Council approve, authorize, and direct the City Manager to execute Amendment No. I with Joe A. Gonsalves & Sons for a two-month period in an amount not to exceed $5,000. FISCAL IMPACT Sufficient funding is available in the proposed Fiscal Year 2023-24 General Fund budget for legislative advocacy services. STRATEGIC PLAN IMPACT Extending the Agreement with Gonsalves is consistent with Rosemead 2030 Strategic Plan goals as follows: • Safety — Explore grant funding to install additional cameras in parks and other public facilities to help deter crime AGENDA ITEM 4.K City Council Meeting June 13, 2023 Page 2 of 2 Safety — Explore grant opportunities and continue to work with the San Gabriel Council of Governments (SGVCOG) and other regional partners to address homelessness. Infrastructure — Continue to seek grant and other funding opportunities for street improvements and infrastructure enhancements. GONSALVES & SONS This FIRST AMENDMENT ("Amendment') is made and entered into this July 1, 2023 ("Effective Date"), by and between the City of Rosemead, a municipal organization, organized under the laws of the State of California with its principal place of business at 8838 East Valley Blvd., Rosemead, California 91770 ("City") and Joe A. Gonsalves & Sons with principal place of business at 925 L Street, Suite 250, Sacramento, CA 95814 ("Consultant'). City and Consultant are sometimes individually referred to herein as "Party" and collectively as "Parties." WHEREAS, City and Consultant entered into an agreement on July 1, 2022, for legislative advocacy and governmental affairs services (e.g., lobbying); and WHEREAS, this Agreement is set to expire on June 30, 2023. NOW, THEREFORE, the Parties agree as follows: SECTION 1. Section 3.1.2 Term shall be amended to read: 3.1.2 Term. The term of this Agreement shall be for a two (2) month time period from Effective date, unless earlier terminated as provided herein. Consultant shall complete the Services within the term of the Agreement, and shall meet any other established schedules and deadlines. SECTION 2. Section 3.3.1 Term shall be amended to read: 3.3.1 Compensation. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement and shall not exceed Five Thousand Dollars ($5,000). The City agrees to pay Consultant a fee of Two Thousand Five Hundred Dollars ($2,500) a month. Extra Work may be authorized in writing, as described below, and will be compensated at the rates and manner set forth in this Agreement. SECTION 3. All other terms, conditions, and provisions of the Original Agreement not in conflict with this Addendum, shall remain in full force and effect. SECTION 4. The City Clerk shall certify to the adoption of this Addendum and hereafter the same shall be in full force and effect.
