SUBJECT: WALNUT GROVE BRIDGE REPAINTING PROJECT - CONTRACT
AWARD
SUMMARY
As part of the City's Fiscal Year 2008 -09 Capital Improvement Program, the City Council
approved a project to enhance the aesthetic look of the Walnut Grove Avenue bridge
underpass. The project consists of water blasting, sealing and priming all surfaces,
followed by applying graffiti- resistant paint to ensure quick and easy removal if surfaces
are tagged again in the future.
In addition, the project calls for the installation or painting of two large City seals on the
bridge walls, north and southbound of Walnut Grove Avenue. The color and logo design
will be similar to the Garvey Avenue Bridge (Attachment 1).
Staff sent a Request for Proposal (RFP) to four (4) qualified companies and on February
18, 2009, four (4) proposals were received. Staff carefully reviewed the proposals and is
recommending a contract award to the lowest most responsive bidder, CLM Construction
Corp.
Staff Recommendation
Staff recommends the following:
1. Authorize the City Manager to enter into a contract with CLM Construction
Corp. for the Walnut Grove Bridge Repainting Project in the amount of
$22,300.00.
2. Establish an amount of $2,500 to cover the cost of unforeseen construction
expenses.
3. Approve the proposed color painting and City seals.

DISCUSSION
Walnut Grove Avenue is one of the City's most traveled North /South roadways. The
Walnut Grove /10 Freeway underpass has been one of the most graffiti- tagged locations
in the City. Over the years, numerous color paints have been used to cover graffiti on the
bridge walls. Improvements to the aesthetics of the underpass will greatly improve the
image of this area, thus adding a welcoming feel enjoyed by residents and travelers alike,
and contributing to the City's beautification efforts. Other cities in the San Gabriel Valley
have received positive feedback on similar projects.
Future maintenance of the underpass area will continue to be managed by the City's
Public Works Services staff. Staff will monitor the bridge area including the City
name /logo for graffiti on a regular basis. All areas will be covered with a protective graffiti
coating to minimize graffiti. In accordance with State Water Resources Control Board
regulations and the Caltrans Encroachment Permit (Attachment 2), the City's Public
Works Inspector will ensure that the contractor uses best management practices
available in the painting industry while this project is in progress. Staff currently utilizes
graffiti coating in several locations throughout the City and has had success with the
product. Anti - graffiti coatings do not discolor paint and are compliant with AQMD
emission rules.
Staff requested informal bid proposals from four (4) companies. Bids were received on
February 18, 2009 and are listed as follows:

Staff has reviewed the bid documents for completeness and investigated the contractor's
background and recent projects for competency. Staff has concluded that CLM
Construction Corp. is the lowest responsive bidder to complete this project. Work will
take place primarily during nights to minimize the traffic impact to motorists. In addition,
staff obtained an encroachment permit from Caltrans (Attachment 2) in order to complete
the painting work.
Timeline
If this contract is awarded by the City Council, staff will work to complete this project
according to the following schedule:

FINANCIAL REVIEW
The total appropriation needed to award this project is $24,800.00, which includes a
$2,500 contingency for unforeseen construction expenses. Funding for this project has
been approved in the City's approved FY 2008 -09 Capital Improvement Program budget,
as the Walnut Grove Bridge Repainting Project, in the amount of $45,000.00 (State Gas
Tax).
ENVIRONMENTAL REVIEW
The project is categorically exempt from the California Environmental Quality Act (CEQA)
pursuant to Section 15304 (a) of the CEQA Implementing Guidelines. This exemption
covers projects involving minor alterations of land that do not have a significant effect on
the environment.

SPECIAL PROVISIONS
1. By acceptance of this permit, the permittee understands and agrees to reimburse the State for all costs incurred
for performing corrective work in the event that the permittee or permittee's representatives fail to install, replace,
repair, restore, or remove facilities to state specifications for the immediate safe operation of the highway and
satisfactory completion of all permit work. State forces may perform corrective work or it maybe contracted out.
Understood is that the above charges are in addition to permit fees, and an invoice will be sent to permittee for
said charges after satisfactory completion of all work.
2. It is the responsibility of the permittee, permittee's agents, or contractors to comply with all provisions of this
permit and instructions from the State permit inspector. Permittee shall keep the permit package or copies
thereof, at the work site at all times and show it upon request to any Department representative or law
enforcement officer. When the permit package is not available, then immediate suspension of permit will occur.
3. All work performed pursuant to this permit shall be performed in accordance with the current Department of
Transportation's Standard Specifications, Standard Plans, Encroachment Permit Utility Provisions dated May
2006, and shall comply with all provisions of this permit and the instructions of the State permit inspector. Any
violation of this permit shall constitute grounds for revocation of the permit.
4. If contractor forces perform the work authorized by this permit, permittee's contractor shall furnish the State with a
signed application requesting a separate Caltrans permit (Double Permit) authorizing the contractor to perform
the work within the State's right of way on behalf of the permittee, a "Performance Bond" and a "Payment Bond"
maybe required. Contractor's bonds maybe waived if the contractor has bonds for 100 percent of the project with
the permittee. Contractor shall not begin work until the Double permit is approved.
Permittee's contractor will be required to reimburse the State for the cost incurred for engineering inspection of
the work within the State highway right of way and all other permit related field work performed by Caltrans
maintenance forces when, as determined by Caltrans, it becomes necessary. Estimated engineering
inspection fees are $492.00.
Permittee's contractor is required to have the signed permit and the double permit with all Special Provisions and
plans stamped "CALTRANS PERMIT PLANS" dated March 23, 2009 at the work site at all times while work is
being conducted.
Permittee shall remain solely responsible for compliance with all requirements of this permit.
5. Permittee shall furnish the necessary inspection to provide for public safety and to insure that all work within or
affecting the State's right of way pursuant to this permit is in accordance with State Standards and requirements.
The State permit inspectors will monitor the work authorized under this permit and the work is subject to the
approval of the State permit inspectors.
6. Prior to performing any work pursuant to this permit, the permittee shall obtain all necessary permits and
authorizations required of other governmental agencies and by law. The permittee shall make the necessary
arrangements with the appropriate agencies to monitor and test performed work to ensure accordance with
requirements of those agencies.
7. Permittee is responsible for restoration and repair of the State's right of way resulting from permitted work (State
Streets and Highways Code, Sections 670 et. seq.). Upon completion of work, permittee shall remove and
dispose of all scraps, brush, timber, materials, etc. off the State's right of way.
8. Existing traffic signal, lighting, electrical systems, and underground installations (shown on the permit plans or
not) damaged by the work authorized by this permit shall be replaced in kind, restored in kind, or better as
directed by the State permit inspectors at no cost to the State.
9. Work hours are from 9am to 3pm.
10. Slow lane shall be closed per MUTCD 2006 and Caltrans Standard Plan.

11. Potentially hazardous waste material, if encountered during implementation of permitted work, then all work within
the effected area shall cease immediately. The permittee shall contact State permit inspector to arrange a site
assessment by a Caltrans hazardous material coordinator.
12. Do not store materials within the State's right of way and remove materials at the end of the day or properly store
it as directed by the State permit inspector.
13. American National Standards Institute (ANSI) compliant Class II vests and hard hat shall be worn while working
within State's right of way. Workers working at night will be required to wear ANSI Class III warning garments.
Class III compliance can be achieved by combining ANSI Class E pants worn with an ANSI Class II vest.
14. Permittee's contractor and/or contractors shall have proper licenses from the State of California and they shall
provide proper documents as proof upon request.
15. Permittee's contractor shall submit a written schedule to the State permit inspector for review and approval prior
to the beginning of the work.
16. The State permit inspector must ascertain and agree to all work details and all aspects of traffic control or no work
shall begin on this permit.
17. Should any deviation from these procedures or conditions be observed, all work shall be suspended until
satisfactory steps have been taken to ensure compliance.
18. If a time extension for this permit is required, request one 30 days in advance of the expiration date. Permit
closure occurs after the expiration date, once this occurs reactivation will not occur. It will be the responsibility of
the permittee to reapply by submitting an application and plans, if the need for a permit is still present.

the Streets and Highways Code.
2. REVOCATION: Encroachment permits are revocable on five days 13.

Specifications, and Utility Special Provisions. Where reference is
made to "Contractor and Engineer," tbese are amended to be read as
" Permittee and Department representative." 16.
S. PLAN CHANGES: Charges to plans, specifications, and permit
provisions are not allowed without prior approval from the State
representative.
9. INSPECTION AND APPROVAL: All work is subject to
monitoring and inspection. Upon completion of work, pennittee Shall
request a final inspection for acceptance and approval by the
Department The local agency permitter shall not give final
construction approval to its contractor until final acceptance and
approval by the Department is obtained.
10. PERMIT AT WORKSITE: Permittee shall keep the permit package
or a copy thereof at the work site and show it upon Tequmt to any
Department representative or law enforcement officer. If time permit
Package is not kept and made available at the work site, the work shall 17
be suspended.
11. CONFLICTING ENCROACHMENTS: Pcmmittee shall yield start
of work to ongoing, prior authorized work adjacent to or within the
limits of the project site. When existing enmoacbmenis conflict with
new work, the permittee shall bear all cost for rearrangements, (e.g.,
relocation, aheration, removal, etc.).
12. PERMTI'S FROM OTHER AGENCIES: -This permit is invalidated
if the pamittee has not obtained all permits necessary and required by
law, from the Public Utilities C"ramiud of the State of Caliiirmia
(PUC), California Ocwpetioaal Safety end Health Administration
(Cal -OSHA), or any other public agency having jmisdiction.
PEDESTRIAN AND BICYCLIST SAFETY_ A safe minimum
passageway of 4' shall be maintained through the work area at existing
pedestrian or bicycle facilities. At no time shall pedestrians be
diverted onto a portion of the street used for vehicular traffic. At
locations where safe alternate passageways cannot be provided,
appmpriate signs and barricades shall be installed at the limits of
construction and in advance of the limits of construction at the nearest
crosswalk or intersection to detour pedestrians to facilities across the
street Attention is directed to Section 7 -1.09 Public Safety .of the
Department Standard Specifications.
PUBLIC TRAFFIC CONTROL: As required by law, the permittee
shall provide traffic control protection warning signs, lights, safety
devices, etc., and take all other measures necessary for traveling
public's safety. While providing traffic control, the needs and control
of all road users [motorists, bicyclists and pedestrians, including
persons with disabilities in accordance with the Americans with
Disabilities Act of 1990 (ADA)) shall be an essential part of the work
activity.
Day and night time lone closures shall comply with the California
Manual on Uniform Traffic Control Devices (Part 6, Temporary
Traffic Control), Standard Plans, and Standard Specifications for
traffic control systems. These General Provisions are not intended to
impose upon the permittee, by third parties, any duty w standazd of
cote, greater than or different from, as required by law.
MINIMUM INTERFERENCE WITH TRAFFIC: Permittee shall
plan and conduct work so as m create the least possible inconvenience
to the traveling public; traffic,clmall sot be niceasonably delayed. On
conventional highways, pemmittee shall place properly attired
flagger(s) to stop or wain the traveling public in compliance with the
California Manual on Uniform Traffic Control Devices (Chapter 6E,
Flagger Control).
STORAGE OF EQUIPMENT AND MATERIALS: The storage of
equipment or materials is not allowed within State highway right -of-
way, unless specified within the Special Provisions of this specific
encroachment permit If Encroachment Permit Special Provisions allow
for the storage of equipment or materials within the State right of way,
the equipment and material storage shall comply with Standard
Specifications, Standard Plats, Special Provisions, and the Highway
Design Mammal. The clear iecovery cone widths must be followed and
ane the minimum desirable for the type of facility indicated below:
freeways and expressways - 30', conventional highways (no nubs) - 201,
conventional highways (with curbs) — 13'. If a fixed object cannot be
eliminated, moved outside the clear recovery zone, or modified to be
made yielding, it should be shielded by a guardrail or a crash cushion
CARE OF DRAINAGE: 'Fermitte , shall provide alternate drainage
for army work interfering with an existing drainage facility in
compliance with the Standard Specifications, Standard Plans and/or an
directed by the Departmenis repres itt ive.
18. RESTORATION AND REPAIRS IN RIGHT OF WAY: Permitte :
is responsible for restoation and repair of State highway right of way
resulting from permitted work (State Streets and Highways Code,
Sections 670 at seq.).
The duty of the perminee to indemnify and save ba —lcrss includes the
duties to defend as set forth in Section 2776 of the Civil Coda. The
permitter waive any and all rights to any type of expressed or
impliedtmdem ity against the State, its ofiicen:, employers, and State
cantractora. It a the intact of the parties that the permit- will
indemnify and hold harmless the State, its of5cera. employees, and
State's contractors, from my and all claims, suits or actions as act
forth above regardless of to existence or degree of fault or
negligence, whether active or passive, primary or secondary, on the
part of the State, the permiuee, persons employed by the permittm or
acting on behalf of the permittee.
For the purpose of this section, "State's contractors" shall include
contractors and their subcontractors under contract to the State of
California performing work within the limits of this permit.
29. NO PRECEDENT ESTABLISHED: This permit is issued with the
understanding that it does not establish a precedent
30. FEDERAL CIVIL RIGHTS REQUIREMENTS FOR PUBLIC
ACCOMMODATION:
A. The pemdttee, for himself, his personal representativq succeaors
in interest, and assigns as part of the consideration hereof, does hereby
covenant and agree that
1. No person on the grounds of race, color, or national origin shall be
excluded from participation in, be denied the benefits of, or be
otherwise subjected to discrimination in the use of said facilities.
2. That in connection with the construction of any improvements en
said ]ands and to furnishings of services thereon, no discrimination
shall be practiced in the selection and retention of first -tier
subcontractors in the selection of second -tier subcontractors.
3. That such discrimination shall not be practiced against the public in
their access to and use of the facilities and services provided for
public accommodations (such as eating, sleeping, rest, recreation), and
operation on, over, or under the space of the right of way.
4. That the permittee shall use the premises in compliance with all
other regtdmments imposed pursuant to Title 15, Code of Federal
Regulations, Commerce and Foreign Trade, Subtitle A. Office of the
Secretary of Commerce, Part 8 (15 C.F.R. Part 8) and as said
Regulations may be amended
S. That in the event of breach of any of the above nondiscrimination
covenants, the State shall have the right to terminate the permit and to
re -enter and repossess said land and the land and the facilities thereon,
and hold to same as if said permit had never been made or issued.
31. MAINTENANCE OF HIGHWAYS: The permittee agrees, by
acceptance of a permit, to properly maintain any encroachment This
assurance requires the permitee to provide inspection and repair any
damage, at per aittae's expense, to State facilities molting from the
encroachment
32. SPECIAL EVENTS: In accordance with subdivision (a) of Streets
and Highways Code Section 6B23, the Department of Transportation
shall not be responsible for the conduct or operation of the permitted
activity, and the applicant agrees to defend, indemnify, and ]cold
harmless the State and the city or county against any and al] claims
arising out of any activity fmwhicb the permit is issued.
Permitee understands and agrees that it will comply with the
obligations of Titles 11 and ID of the Americans with Disabilities Act
of 1990 in the conduct of the event, and further agree to indemnify
and save harmless the State of California, all officers and employee
thereof, including but not limited to the Director of Transportation,
from any claims or liability arising out of or by virtue of said Act
33. PRIVATE USE OF RIGHT OF WAY: Highway right of way shall
not be used fm private purpose without compensation to the State.
The gifting of public property use and thmdam public prude is
probibited under the rliforma Constitution, Article 16.
34. FIELD WORK RZIMBURSEWUNT: Permitee shall reimburse
State for field work perfarmed on perminca's behalf to correct or
remedy hazards or damaged facilities, or clear debris not attended to
by the permittee.
35. NOTIFICATION OF DEPARTMENT AND TMC: The permittee
shall notify the Department's representative and the Transportation
Management Center (TMC) at least 7 days before initiating a lane
closure or conducting an activity that may cause a traffic impact A
confirmation notification should crew 3 days before closure or other
potential traffic impacts. In emergency situations when the corrective
work or the emergency itself may affect traffic, TMC and the
Department's representative slell be notified as soon as possible.
36. SUSPENSION OF TRAFFIC CONTROL OPERATION: The
permittee, upon notification by the Departmenfs representative, shall
immediately suspend all lane closure operations and my operation
that impedes the flow of traffic. All costs associated with this
suspension shall be home by the permittee:
37. UNDERGROUND SERVICE ALERT (USA) NOTIFICATION:
Any excavation requires compliance with the provisions of
Government Code Section 4216 at seq, including, but not limited to
notice to a regional notification center, such as Underground Service
Alen (USA). Ttepermittee shall provide notification at least 48 hours
before performing any excavation work within the right of way.

10. Should work take place between October 15 and April 15, permittee shall obtain a long -range clear
weather forecast before-breaking into a main line storm drain. Constructions of facilities connecting into
the mainline will be permitted only during a clear weather forecast that is acceptable to the State permit
inspector. Once operations are initiated, Ahe work shall be conducted in a continuous manner until
completed.
11. Abandoned pipes shall be sealed at both ends with 8" (200mm) brick and mortar or 6" (150mm) thick
concrete plug. When facilities are allowed to be abandoned in place, backfilling with sand or other
measures maybe required. This is mandatory for all conduits 12" (300mm) in diameter or larger.
12. In the event that all work is within the working area of a State highway construction project, no work
shall be started until all arrangements have been made with the State contractor and State resident
engineer, to avoid any and all conflict or delay to the State contractor.
13. Permittee shall fully conform to the requirements of the Caltrans statewide NPDES Storm Water Permit,
Order No. 99- 06 -DWQ. NPDES No. CAS000003 was adopted by the State Water Resources Control
Board on July 15, 1999. The permittee shall also conform to the requirements of the General NPDES
Permit for Construction Activities and any subsequent General Permit in effect at the time of issuance of
this encroachment permit. These permits regulate .storm water and non -storm water discharges
associated with year round construction or special event encroachment activities,
14. The permittee shall utilize best management practices (BMP's) that conform to the requirements of the
most current edition of " Caltrans Storm Water Quality Handbooks, Construction Site Best Management
Practices to prevent the iransport ofpollutauts and/or erosive soils to storm drains. or to a body of water. _
The permittee shall be solely responsible to prepare, in accord with good management practices, a Storm
Water Pollution Prevention Plan or Water Pollution Control Plan which will satisfy the Regional Water
Quality Control Board if applicable. Permittee shall be responsible for reimbursement of fines levied
against Caltrans due to permitted's failure to comply with the Regional Water Quality Control Board
rules and regulations within the State's right of way.
Permittee shall provide and install erosion control measures as directed by the State permit inspector or
Caltrans storm water coordinator. Permittee shall be responsible to mitigate for storm water siltation
within or entering the State .right of way as a result of the proposed construction. Erosion control
measures may consist of (but not limited to) gravel bags, straw-bales and silt fencing.

This Special Provision "Q" is to be used as minimum specifications for maintaining traffic and lane /ramp

L MAINTAINING TRAFFIC
1. It is the Permittee's responsibility to provide for the safety of traffic and the public during operations
associated with this permit.
2. All public traffic shall be permitted to pass through the construction zone with as little inconvenience
and delay as possible.
3. No traffic control shall be allowed during rainy, foggy or inclement weather.
4. A California licensed contractor, possessing a valid Class A (General Engineering Contractor) or Class
C -31 (Construction Zone Traffic Control Contractor) license, shall perform all traffic control.
5. Contractors operations shall be conducted in such a manner as to cause a little inconvenience as possible
to abutting property owners. Convenient access to driveways, houses, and buildings along the line of
work shall be maintained.
6. Permittee shall use traffic - handling equipment and devices in accordance with Section 12, "Construction
Area Traffic Control Devices," of the State of California Standard Specifications. These specifications
are applicable to flagging, signs, and all other traffic control devices furnished, maintained, and
removed.
7. Signs, lights, flags and other warning devices and their use shall conform to the requirements set forth in
the current California Manual on Uniform Traffic Control Devices (MUTCD).
8. Permittee shall obtain a closure number from the State. permit inspector and notify Caltrans District
Communication Center by telephone at (213) 897 -0383 immediately prior to installation on a lane/ramp
closure. Inform Caltrans' dispatcher the "10 -97 closure number " before closure installation,
and the "10 -98 closure number " after closure has been removed with lane /ramp opened to
traffic. Permittee shall also provide the Caltrans' dispatcher with an on -site phone number where
information regarding this permit maybe readily obtained during the closure period.
9. Flaggers shall perform their duties and be provided with the necessary equipment in accordance with the
current " Instructions to flaggers" of the Department of Transportation and as provided in the permit.

5. The temporary pavement markers shall be placed in conformance with the manufacturer's
instructions. Temporary pavement markers for long term day /night use (6 months or less) shall be
cemented to the surfacing with the adhesive recommended by the manufacturer, epoxy adhesive shall
not be used to place the temporary pavement markers in areas where removal of the temporary
pavement markers will be required.
6. If the permanent pavement delineation is not placed within 14 days, the permittee shall replace the
temporary pavement markers and provide additional temporary pavement delineation and shall bear
the cost thereof. The additional temporary pavement delineation to be provided shall be equivalent to
the pattern specified for the permanent pavement delineation for the area, as determined by the State
permit inspector.
7. Temporary pavement delineation for edgelines shall, at the option of the permittee, consist of either a
solid 4" (100 -mm) wide traffic stripe of the same color as the stripe the temporary edgeline
delineation replaces, or traffic cones or portable delineators placed at longitudinal intervals not to
exceed 50' (15 m). The lateral offset for traffic cones, portable delineators or channelizers used for
temporary edgeline delineation shall be as determined by the State permit inspector. If traffic cones
or portable delineators are used as temporary pavement delineation for edgelines, the permittee shall
provide personnel to remain at the project site to maintain the cones or delineators.
8. Temporary pavement delineation including pavement markers, removable traffic tape, and underlying
adhesives which are applied to the final layer of surfacing or existing pavement to remain in place or
whichl�onf�ct with a subsequent or new traffic pattern shall be removed when no longer required for
f—_- direction of public traffic as determined by the State permit inspector.
III. TEMPORARY RAILING & CRASH CUSHION
The placing of temporary railing (Type K) and temporary crash cushion shall conform to the
requirements of State of California Standard Specifications Section 12 -3.08 "Temporary Railing ".
Temporary railing (Type K) and crash cushion placements shall conform to the details shown on

CONTRACT AGREEMENT
1. PARTIES AND DATE.
This Agreement is made and entered into this day of
, 20_ by and between the City of Rosemead, a municipal
corporation of the State of California, located at 8838 E. Valley Blvd., Rosemead, California
91770, ( "City") and [insert Name of Company], a [insert type of entity - corporation,
partnership, sole proprietorship or other legal entity] with its principal place of business at

2. RECITALS.
2.1 Contractor.
Contractor desires to perform and assume responsibility for the provision of certain
services required by the City on the terms and conditions set forth in this Agreement.
Contractor represents that it is experienced in providing [insert type of services] services to
public clients, that it and its employees or subcontractors have all necessary licenses and
permits to perform the Services in the State of California, and that is familiar with the plans

2.2 Project.

3. TERMS.
3.1 Scope of Services and Term.

services] maintenance services necessary for the Project ( "Services "). All Services shall
be subject to, and performed in accordance with, this Agreement, the exhibits attached
hereto and incorporated herein by reference, and all applicable local, state and federal
laws, rules and regulations.

complete the Services within the term of this Agreement, and shall meet any other

3.2 Responsibilities of Contractor.
3.2.1 Control and Payment of Subordinates; Independent Contractor. The
Services shall be performed by Contractor or under its supervision. Contractor will

requirements of this Agreement. City retains Contractor on an independent contractor
basis and not as an employee. Contractor retains the right to perform similar or different
services for others during the term of this Agreement. Any additional personnel performing

City and shall at all times be under Contractor's exclusive direction and control. Contractor
shall pay all wages, salaries, and other amounts due such personnel in connection with

shall be responsible for all reports and obligations respecting such additional personnel,
including, but not limited to: social security taxes, income tax withholding, unemployment
insurance, disability insurance, and workers' compensation insurance.
3.2.2 Schedule of Services. Contractor shall perform the Services
expeditiously, within the term of this Agreement, and in accordance with the Schedule of
Services set forth in Exhibit "B" attached hereto and incorporated herein by reference.
Contractor represents that it has the professional and technical personnel required to
perform the Services in conformance with such conditions. In order to facilitate
Contractor's conformance with the Schedule, City shall respond to Contractor's submittals
in a timely manner. Upon request of City, Contractor shall provide a more detailed
schedule of anticipated performance to meet the Schedule of Services.
3.2.3 Conformance to Applicable Requirements. All work prepared by
Contractor shall be subject to the approval of City.
3.2.4 City's Representative. The City hereby designates [insert Name or
Title], or his or her designee, to act as its representative for the performance of this
Agreement ( "City's Representative "). City's Representative shall have the power to act on
behalf of the City for all purposes under this Contract. Contractor shall not accept direction
or orders from any person other than the City's Representative or his or her designee.
3.2.5 Contractor's Representative. Contractor hereby designates [insert

3.2.6 Coordination of Services. Contractor agrees to work closely with City
staff in the performance of Services and shall be available to City's staff, consultants and

3.2.7 Standard of Care; Performance of Employees. Contractor shall
perform all Services under this Agreement in a skillful and competent manner, consistent
with the standards generally recognized as being employed by professionals in the same
discipline in the State of California. Contractor represents and maintains that it is skilled in
the professional calling necessary to perform the Services. Contractor warrants that all
employees and subcontractors shall have sufficient skill and experience to perform the
Services assigned to them. Finally, Contractor represents that it, its employees and
subcontractors have all licenses, permits, qualifications and approvals of whatever nature
that are legally required to perform the Services, including a City Business License, and
that such licenses and approvals shall be maintained throughout the term of this
Agreement. As provided for in the indemnification provisions of this Agreement, Contractor
shall perform, at its own cost and expense and without reimbursement from the City, any
services necessary to correct errors or omissions which are caused by the Contractor's
failure to comply with the standard of care provided for herein. Any employee of the
Contractor or its sub - contractors who is determined by the City to be uncooperative,
incompetent, a threat to the adequate or timely completion of the Project, a threat to the
safety of persons or property, or any employee who fails or refuses to perform the Services
in a manner acceptable to the City, shall be promptly removed from the Project by the
Contractor and shall not be re- employed to perform any of the Services or to work on the
Project.
3.2.8 Laws and Regulations. Contractor shall keep itself fully informed of
and in compliance with all local, state and federal laws, rules and regulations in any
manner affecting the performance of the Project or the Services, including all Cal /OSHA
requirements, and shall give all notices required by law. Contractor shall be liable for all
violations of such laws and regulations in connection with Services. If the Contractor
performs any work knowing it to be contrary to such laws, rules and regulations and without
giving written notice to the City, Contractor shall be solely responsible for all costs arising
therefrom. Contractor shall defend, indemnify and hold City, its officials, directors, officers,
employees and agents free and harmless, pursuant to the indemnification provisions of this
Agreement, from any claim or liability arising out of any failure or alleged failure to comply
with such laws, rules or regulations.
3.2.9 Insurance.
3.2.9.1 Time for Compliance. Contractor shall maintain prior to
the beginning of and for the direction of this Agreement insurance coverage as specified in
Exhibit D attached to and part of this agreement.
3.2.10 Safety. Contractor shall execute and maintain its work so as to avoid
injury or damage to any person or property. In carrying out its Services, the Contractor
shall at all times be in compliance with all applicable local, state and federal laws, rules and
regulations, and shall exercise all necessary precautions for the safety of employees

appropriate to the nature of the work and the conditions under which the work is to be
performed. Safety precautions as applicable shall include, but shall not be limited to: (A)
adequate life protection and life saving equipment and procedures; (B) instructions in

scaffolds, fall protection ladders, bridges, gang planks, confined space procedures,
trenching and shoring, equipment and other safety devices, equipment and wearing
apparel as are necessary or lawfully required to prevent accidents or injuries; and (C)
adequate facilities for the proper inspection and maintenance of all safety measures.
3.2.11 Prevailing Wages. Contractor is aware of the requirements of
California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code
of Regulations, Title 8, Section 1600, et seq., ( "Prevailing Wage Laws "), which require the
payment of prevailing wage rates and the performance of other requirements on "public
works" and "maintenance" projects. If the Services are being performed as part of an
applicable "public works" or "maintenance" project, as defined by the Prevailing Wage
Laws, and if the total compensation is $1,000 or more, Contractor agrees to fully comply
with such Prevailing Wage Laws. City shall provide Contractor with a copy of the prevailing
rates of per diem wages in effect at the commencement of this Agreement. Contractor
shall make copies of the prevailing rates of per diem wages for each craft, classification or
type of worker needed to execute the Services available to interested parties upon request,
and shall post copies at the Contractor's principal place of business and at the project site.
Contractor shall defend, indemnify and hold the City, its elected officials, officers,
employees and agents free and harmless from any claim or liability arising out of any
failure or alleged failure to comply with the Prevailing Wage Laws.
3.2.12 Bonds.
3.2.12.1 Performance Bond. Contractor shall execute and
provide to City concurrently with this Agreement a Performance Bond in the amount of the
total, not -to- exceed compensation indicated in this Agreement, and in a form provided or
approved by the City. If such bond is required, no payment will be made to Contractor until
it has been received and approved by the City.
3.2.12.2 Payment Bond. Contractor shall execute and provide to
City concurrently with this Agreement a Payment Bond in the amount of the total, not -to-
exceed compensation indicated in this Agreement, and in a form provided or approved by
the City. If such bond is required, no payment will be made to Contractor until it has been
received and approved by the City.
3.2.12.3 Bond Provisions. Should, in City's sole opinion, any
bond become insufficient or any surety be found to be unsatisfactory, Contractor shall
renew or replace the affected bond within 10 days of receiving notice from City. In the
event the surety or Contractor intends to reduce or cancel any required bond, at least thirty
(30) days prior written notice shall be given to the City, and Contractor shall post
acceptable replacement bonds at least ten (10) days prior to expiration of the original

bonds. No further payments shall be deemed due or will be made under this Agreement
until any replacement bonds required by this Section are accepted by the City. To the
extent, if any, that the total compensation is increased in accordance with the Agreement,
the Contractor shall, upon request of the City, cause the amount of the bonds to be
increased accordingly and shall promptly deliver satisfactory evidence of such increase to
the City. To the extent available, the bonds shall further provide that no change or
alteration of the Agreement (including, without limitation, an increase in the total
compensation, as referred to above), extensions of time, or modifications of the time,
terms, or conditions of payment to the Contractor, will release the surety. If the Contractor
fails to furnish any required bond, the City may terminate this Agreement for cause.
3.2.12.4 Surety Qualifications. Only bonds executed by an
admitted surety insurer, as defined in Code of Civil Procedure Section 995.120, shall be
accepted. The surety must be a California- admitted surety with a current A.M. Best's rating
no less than A:VIII and satisfactory to the City. If a California- admitted surety insurer
issuing bonds does not meet these requirements, the insurer will be considered qualified if
it is in conformance with Section 995.660 of the California Code of Civil Procedure, and
proof of such is provided to the City.
3.3 Fees and Payments.
3.3.1 Compensation. Contractor shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates set
forth in Exhibit C attached hereto and incorporated herein by reference. The total
compensation shall not exceed [insert written dollar amount] ($[insert numerical dollar
amount]) without advance written approval of City's project manager. Extra Work may be
authorized, as described below, and if authorized, will be compensated at the rates and
manner set forth in this Agreement.
3.3.2 Payment of Compensation. Contractor shall submit to City a monthly
itemized statement which indicates work completed and hours of Services rendered by
Contractor. The statement shall describe the amount of Services and supplies provided
since the initial commencement date, or since the start of the subsequent billing periods,
as appropriate, through the date of the statement. City shall, within 45 days of receiving
such statement, review the statement and pay all approved charges thereon.
3.3.3 Reimbursement for Expenses. Contractor shall not be reimbursed for
any expenses unless authorized in writing by City.
3.3.4 Extra Work. At any time during the term of this Agreement, City may
request that Contractor perform Extra Work. As used herein, "Extra Work" means any
work which is determined by City to be necessary for the proper completion of the Project,
but which the parties did not reasonably anticipate would be necessary at the execution of
this Agreement. Contractor shall not perform, nor be compensated for, Extra Work without
written authorization from City's Representative.

3.3.5 Prevailing Wages. Contractor is aware of the requirements of
California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code
of Regulations, Title 8, Section 16000, et seq., (`Prevailing Wage Laws "), which require the
payment of prevailing wage rates and the performance of other requirements on "public
works" and "maintenance" projects. If the Services are being performed as part of an
applicable "public works' or "maintenance" project, as defined by the Prevailing Wage
Laws, and if the total compensation is $1,000 or more, Contractor agrees to fully comply
with such Prevailing Wage Laws. City shall provide Contractor with a copy of the prevailing
rates of per diem wages in effect at the commencement of this Agreement. Contractor
shall make copies of the prevailing rates of per diem wages for each craft, classification or
type of worker needed to execute the Services available to interested parties upon request,
and shall post copies at the Contractor's principal place of business and at the project site.
Contractor shall defend, indemnify and hold the City, its elected officials, officers,
employees and agents free and harmless from any claim or liability arising out of any
failure or alleged failure to comply with the Prevailing Wage Laws.
3.4 Accounting Records.
3.4.1 Maintenance and Inspection. Contractor shall maintain complete and
accurate records with respect to all costs and expenses incurred under this Agreement. All
such records shall be clearly identifiable. Contractor shall allow a representative of City
during normal business hours to examine, audit, and make transcripts or copies of such
records and any other documents created pursuant to this Agreement. Contractor shall
allow inspection of all work, data, documents, proceedings, and activities related to the
Agreement for a period of three (3) years from the date of final payment under this
Agreement.
3.5 General Provisions.
3.5.1 Termination of Agreement.
3.5.1.1 Grounds for Termination. City may, by written notice to
Contractor, terminate the whole or any part of this Agreement at any time and without
cause by giving written notice to Contractor of such termination, and specifying the
effective date thereof, at least seven (7) days before the effective date of such termination.
Upon termination, Contractor shall be compensated only for those services which have
been adequately rendered to City, and Contractor shall be entitled to no further
compensation. Contractor may not terminate this Agreement except for cause.
3.5.1.2 Effect of Termination. If this Agreement is terminated as
provided herein, City may require Contractor to provide all finished or unfinished
Documents and Data and other information of any kind prepared by Contractor in
connection with the performance of Services under this Agreement. Contractor shall be

3.5.1.3 Additional Services. In the event this Agreement is

3.5.3 Cooperation; Further Acts. The Parties shall fully cooperate with one

3.5.4 Attorney's Fees. If either party commences an action against the other
party, either legal, administrative or otherwise, arising out of or in connection with this
Agreement, the prevailing party in such litigation shall be entitled to have and recover from
the losing party reasonable attorney's fees and all other costs of such action.
3.5.5 Indemnification. Contractor shall defend, indemnify and hold the City,
its officials, officers, employees, volunteers and agents free and harmless from any and all
claims, demands, causes of action, costs, expenses, liability, loss, damage or injury, in law
or equity, to property or persons, including wrongful death, in any manner arising out of or
incident to any alleged acts, omissions or willful misconduct of Contractor, its officials,
officers, employees, agents, consultants and contractors arising out of or in connection with
the performance of the Services, the Project or this Agreement, including without limitation

the payment of all consequential damages and attorneys fees and other related costs and
expenses. Contractor shall defend, at Contractor's own cost, expense and risk, any and all

Contractor shall pay and satisfy any judgment, award or decree that may be rendered

3.5.6 Entire Agreement. This Agreement contains the entire Agreement of
the parties with respect to the subject matter hereof, and supersedes all prior negotiations,
understandings or agreements. This Agreement may only be modified by a writing signed
by both parties.
3.5.7 Governing Law. This Agreement shall be governed by the laws of the
State of California. Venue shall be in Los Angeles County.
3.5.8 Time of Essence. Time is of the essence for each and every provision
of this Agreement.
3.5.9 City's Right to Employ Other Contractors. City reserves right to
employ other contractors in connection with this Project.
3.5.10 Successors and Assigns. This Agreement shall be binding on the
successors and assigns of the parties.
3.5.11 Assignment or Transfer. Contractor shall not assign, hypothecate, or
transfer, either directly or by operation of law, this Agreement or any interest herein without
the prior written consent of the City. Any attempt to do so shall be null and void, and any
assignees, hypothecates or transferees shall acquire no right or interest by reason of such
attempted assignment, hypothecation or transfer.
3.5.12 Construction; References; Captions. Since the Parties or their agents
have participated fully in the preparation of this Agreement, the language of this Agreement
shall be construed simply, according to its fair meaning, and not strictly for or against any
Party. Any term referencing time, days or period for performance shall be deemed
calendar days and not work days. All references to Contractor include all personnel,
employees, agents, and subcontractors of Contractor, except as otherwise specified in this
Agreement. All references to City include its elected officials, officers, employees, agents,
and volunteers except as otherwise specified in this Agreement. The captions of the
various articles and paragraphs are for convenience and ease of reference only, and do

not define, limit, augment, or describe the scope, content, or intent of this Agreement.
3.5.13 Amendment; Modification. No supplement, modification, or
amendment of this Agreement shall be binding unless executed in writing and signed by

3.5.14 Waiver. No waiver of any default shall constitute a waiver of any other
default or breach, whether of the same or other covenant or condition. No waiver, benefit,
privilege, or service voluntarily given or performed by a Party shall give the other Party any
contractual rights by custom, estoppel, or otherwise.
3.5.15 No Third Party Beneficiaries. There are no intended third party
beneficiaries of any right or obligation assumed by the Parties.
3.5.16 Invalidity; Severability. If any portion of this Agreement is declared
invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the
remaining provisions shall continue in full force and effect.
3.5.17 Prohibited Interests. Contractor maintains and warrants that it has not
employed nor retained any company or person, other than a bona fide employee working
solely for Contractor, to solicit or secure this Agreement. Further, Contractor warrants that
it has not paid nor has it agreed to pay any company or person, other than a bona fide
employee working solely for Contractor, any fee, commission, percentage, brokerage fee,
gift or other consideration contingent upon or resulting from the award or making of this
Agreement. For breach or violation of this warranty, City shall have the right to rescind this
Agreement without liability. For the term of this Agreement, no member, officer or
employee of City, during the term of his or her service with City, shall have any direct
interest in this Agreement, or obtain any present or anticipated material benefit arising
therefrom.
3.5.18 Equal Opportunity Employment. Contractor represents that it is an
equal opportunity employer and it shall not discriminate against any subcontractor,
employee or applicant for employment because of race, religion, color, national origin,
handicap, ancestry, sex or age. Such non - discrimination shall include, but not be limited
to, all activities related to initial employment, upgrading, demotion, transfer, recruitment or
recruitment advertising, layoff or termination. Contractor shall also comply with all relevant
provisions of City's Minority Business Enterprise program, Affirmative Action Plan or other
related programs or guidelines currently in effect or hereinafter enacted.
3.5.19 Labor Certification. By its signature hereunder, Contractor certifies
that it is aware of the provisions of Section 3700 of the California Labor Code which require
every employer to be insured against liability for Worker's Compensation or to undertake
self- insurance in accordance with the provisions of that Code, and agrees to comply with
such provisions before commencing the performance of the Services.

3.5.20 Authority to Enter Agreement. Contractor has all requisite power and
authority to conduct its business and to execute, deliver, and perform the Agreement.

3.5.21 Counterparts. This Agreement may be signed in counterparts, each of

CLM Construction Corporation is pleased to submit this proposal for providing
construction services for performing painting services. The following will outline our
scope of work and proposed fee.
SCOPE OF WORK
The work will consist of the following tasks:
A. GENERAL
1. The work includes, but is not necessarily limited to, furnishing of
materials and equipment and completion of painting and painters
finish on exposed surfaces as required to complete finishing of all
exterior surfaces including: Concrete and Metal Railing.
2. Replace unsatisfactory work caused by improper or defective
surfaces, as directed by the owner's representative at not additional
cost.
3. Provide traffic control per latest WATCH Manuals.
B. QUALITY ASSURANCE
1. Include on label of containers.

1. All work will be performed by experienced skillful craftsmen to
assure finished work of first class quality and durability.
2. All paints and coatings shall be mixed and applied strictly in
accordance with the manufacturer's printed instructions.
3. All materials shall be applied evenly with proper film thickness and
free of runs, sags, skips and other defects. Enamel shall be sanded
lightly between coats, dusted and cleaned before recoating.
4. All work shall be done under favorable weather conditions or the
work shall be suitable protected from the weather.
5. The City does not take responsibility for surface preparation or
material application.
DELIVERY, STORAGE AND HANDLING
1. Deliver materials to the job site in new, original and unopened
containers bearing Manufacturer's name, trade name and color
name and number.
2. Store only acceptable project materials on site.
3. Store in suitable location.
4. Restrict storage to paint materials and related equipment.
5. Comply with health and fire regulations.
CONDITIONS
1. Environmental requirements:
a. Comply with manufacturer's recommendations as to
environmental conditions under which coatings and coating
systems can be stored and applied.

b. Do not paint when there is a treat of rain within 48 hours or
when surface or air temperatures are at or below 50 degrees.
c. Comply with current applicable local, state and federal
regulations and requirements.
F. PRODUCTS
Materials:
a. Products specified by name number are products of the ICI
Dulux Painting Company, Los Angeles, California or Approved
Equal.
2. Colors:
a. Color will be specified by Owner or Owner's
representative. (only one color)
3. Mixing and Tinting:
a. Deliver paints ready mixed to job site.
b. All paints and coatings shall be mixed and applied strictly in
accordance with manufacturer's printed instructions.
c. Use tinting colors recommended by manufacturer for specific
type of finish.
G. EXECUTION
Inspection:
a. Examine surfaces schedule to receive paint and finishes for
conditions that will adversely affect execution, permanence or
quality of work and which cannot be put into acceptable
condition through preparatory work as included in "Preparation
and Surfaces." Notify the owner or owner's representative in
writing of any defects or conditions which will prevent a
satisfactory installation.
b. Do not proceed with surface preparation or coating application
until conditions are suitable.
c. Commencement of painting implies acceptance of surfaces.
Preparation of Surface:
a. Clean all exterior walls and surfaces of loose and scaly paint,
rust, mildew, dirt, dust, chalk, efflorescence and other foreign
matter by water blasting, followed by wire brushing, sanding
and scraping as required to provide a clean, sound surface for
the new paint coatings.

b. Patch, caulk and repair all surfaces and cracks where
necessary with suitable patching materials and smooth off to
match adjacent surfaces.
c. Remove any vegetation, ivy or others attached to the existing
surfaces.
d. Degloss all glossy and previously enameled surfaces to
provide a roughened surface or "tooth" for good adhesion on
subsequent coats.
e. Prime all bare metal with suitable metal primer.
f. Remove all rust stains completely.
g. Remove existing City logos if necessary.
3. Painting Schedule
a. Prepare, paint and finish all surfaces specified and agreed
upon.
b. Provide paint finishes of even uniform color, free from cloudy
or mottled appearance. Properly correct all non - complying
work to the satisfactory of owner or owner's representative.
c. Paint Application Finish Schedule:

4. Protection and Clean Up:
a. Carefully protect areas where work is in progress from
damage.
b. Provide and spread clean dropcloths when and where
required to provide necessary protection.
c. Immediately clean up all accidental spatter, spillage,
misplaced paint and restore the affected surface to its original
condition.
d. At completion of work, remove all materials, supplies, debris
and rubbish and leave each area in a clean, acceptable
condition.
PROPOSEDFEE
Our proposed compensation, for the services to be performed in accordance with
the Scope of Work, is a lump -sum fee of $22,300.00
This proposal does not include concrete repair, graffiti, and others not indicated on
this proposal.

Cor -Ray Painting Company (CRPC) is pleased to offer our firm lump sum price of $65,300.00,
including all labor, material, equipment, consumables, taxes and insurance, necessary to perform cited work
complete and in accordance with your RFP dated Feb. 10, 2009. An outline of the scope of work is as follows.
Bridge Concrete
Remove (and dispose of) vegetation attached to the bridge
Pressure wash @ 2,000 -3,500 psi to remove loose and scaly paint, dirt, dust, chalk and efflorescence
Caulk cracks larger than 1116" wide with acrylic latex sealant
Hand sand glossy areas and edges of sound paint
Apply one (1) coat ICI 3030 -1200 Prep & Prime Bond Prep at all bare concrete
Apply two (2) coats ICI 2200 Exterior 100% Acrylic Flat Finish at all concrete
Bridge Railings

CRPC's proposal assumes the following.
* Traffic control on Walnut Grove Avenue and I -10 (as noted below) is by CRPC
* Coordination with Caltrans is by the City. Said coordination includes the submittal of traffic control
plans for the work on I -10.
* One (l) lane in each direction on Walnut Grove, may be closed Mon -Fri, 9 AM — 3 PM and 6 PM to
5 AM. CRPC shall perform said work in accordance with the latest WATCH Manuals.
* One (1) lane on I -10 may be closed Mon -Fri, 10 PM to 5 AM. CRPC assumes that said closures may
in fact close the on and / or off ramp(s) which are in the immediate vicinity of the bridge. CRPC's
traffic control plan includes furnishing, installation and removal of "traffic cones" in the immediate
vicinity of the lane closure. CRPC assumes that the City will be responsible for the famishing,
installation and removal of temporary signs, message boards, or other such traffic control devices.
Additionally, CRPC assumes that the City will be responsible for famishing, installation and removal
of temporary traffic safety devices such as water filled barrels, K rail, etc. CRPC is able to provide the
latter mentioned traffic control and safety device at cost plus fifteen (15 %) mark -up.
* Existing paint is non - hazardous
